Management Incentive Unit definition

Management Incentive Unit means a “Management Incentive Unit” as described in the Plan and issued in accordance therewith. Management Incentive Units are not Common Units.
Management Incentive Unit means a Partnership Security representing a fractional part of the Partnership Interests of all Limited Partners and having the rights and obligations specified with respect to Management Incentive Units in this Agreement.
Management Incentive Unit means a Class D Unit issued pursuant to Section 3.9.

  • The Company and the Employee further agree that immediately upon the occurrence of any Change of Control Event, all amounts theretofore credited to the Employee under the Company's Management Incentive Unit Award Plan, as amended (the "MIU Plan"), shall become fully vested and all such amounts thereafter credited shall become fully vested immediately upon such crediting.

  • An Executive shall not be entitled to any voting rights or any Sharing Percentage with respect to a Management Incentive Unit, but for all other purposes an Executive shall have all of the rights and obligations of a Limited Partner holding Common Units hereunder.

Management Incentive Unit has the meaning given to such term in the Second Amended and Restated LLC Agreement.

The terms of this Plan, any Employment Agreement or any Award Letter will not be deemed in conflict or inconsistent with the provisions of the Company Agreement merely because they impose greater or additional restrictions, obligations or duties.
Management Incentive Unit means any class of Units issued pursuant to Section 3.5 that are issued to Management Limited Partners and are designated by the Board as Management Incentive Units.

  • Management Incentive Plan means the Company’s bonus program, as implemented by the Company’s board of directors from time to time and pursuant to which the Executive may receive incentive-based compensation at fiscal year end.

  • Incentive Units means those Partnership Interests described in Section 2 of the Incentive Unit Agreement.

Pre-Incentive Fee Net Investment Income does not include any realized capital gains, realized capital losses or unrealized capital appreciation or depreciation.

  • Economic development incentive means a financial incentive,

  • Management Unit means an area established by the Commission for management purposes.

  • incentive plan award means compensation awarded, earned, paid, or payable under an incentive plan;

  • Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.

  • Long-Term Incentive Award means an Award described in Section 6(g) hereof that is based upon a period in excess of one year.

  • Clawback Eligible Incentive Compensation means all Incentive-based Compensation Received by an Executive Officer (i) on or after the effective date of the applicable Nasdaq rules, (ii) after beginning service as an Executive Officer, (iii) who served as an Executive Officer at any time during the applicable performance period relating to any Incentive-based Compensation (whether or not such Executive Officer is serving at the time the Erroneously Awarded Compensation is required to be repaid to the Company), (iv) while the Company has a class of securities listed on a national securities exchange or a national securities association, and (v) during the applicable Clawback Period (as defined below).

  • Incentive means a term or condition whose purpose is to motivate the Contractor to provide supplies or services at lower costs, and in certain instances with improved delivery or technical performance, by relating the amount of profit or fee earned to the Contractor’s performance.

  • Stock Unit means a bookkeeping entry representing the equivalent of one Common Share, as awarded under the Plan.
