In order to exercise the Liquidation Call Right, BBU must notify the Transfer Agent in writing, as agent for the Class A Shareholders and the Company, of its intention to exercise such right at least 30 days before the Liquidation Date in the case of a voluntary liquidation, dissolution or winding up of the Company and at least five Business Days before the Liquidation Date in the case of an involuntary liquidation, dissolution or winding up of the Company.
In the event of the exercise of the Liquidation Call Right by Callco, each holder (other than LSEG and its affiliates) shall be obligated to sell all the Exchangeable Shares held by the holder to Callco on the Liquidation Date on payment by Callco to the holder of the Liquidation Call Purchase Price for each such share, and Exchangeco shall have no obligation to pay any Liquidation Amount to the holders of such shares so purchased by Callco.
The Liquidation Call Right, the Retraction Call Right and the Redemption Call Right are hereby acknowledged and confirmed by the Parties, and it is agreed and acknowledged that such rights are granted as part of the consideration for the obligations of CSAC and Exchangeco under this Agreement.
If BIP exercises the Liquidation Call Right in accordance with this §25.29, all obligations of the Company under§25.25 to §25.27 will terminate and on the Liquidation Date BIP will purchase and Class AShareholders will sell all of their Class A Shares then outstanding for a price per unit equal to the Liquidation Call Consideration.
