Licensable definition

Licensable means having the right to grant, whether at the time of the Distribution or subsequently acquired, the rights conveyed herein.
Licensable means having the right to grant, to the maximum extent possible, whether at the time of the initial grant or subsequently, any and all of the rights conveyed by this License.
Licensable means that, as of the Effective Date, AMD or any of its Affiliates has the right to grant to Broadcom a license or other rights within the scope of the rights granted to Broadcom under this Agreement, subject to the scope of permissible sublicense rights granted to AMD, without such grant (a) resulting in any breach or other violation of any obligation of AMD or any of its Affiliates to any Third Party (who is not an AMD Affiliate), or (b) resulting in any payment obligations of AMD to any Third Party (who is not an AMD Affiliate).

Examples of Licensable in a sentence

  • Provided that any such marketing and/ or Sub-Licensing shall only be undertaken in respect of such designated areas, as set forth in Schedule 6 (Designated Areas for Sub-License), and shall not exceed the total Licensable Station Area.

More Definitions of Licensable

Licensable means possession of the ability to grant a license or sublicense of, or within, the scope provided for in this Agreement without payment of any fee to, or violating the terms of any agreement or other arrangements with a Third Party and without violating any applicable laws, rules or regulations.
Licensable means that Licensor has the right and ability as of the Effective Date or during the term of this Agreement to license the respective right to Licensee under the terms of this Agreement without payment of consideration by, or other detriment to, Licensor.
Licensable means, with respect to any Intellectual Property, the right to grant sublicenses to a Person within the scope of the licenses set forth in Section 2.01 or Section 2.02, as applicable, without (i) the requirement to obtain consent from, give notice to, or take any other action with respect to any Third Party or (ii) incurring fees, royalties, Liabilities or other costs in connection with such sublicense.
Licensable means, with respect to any specified Intellectual Property licensed by a party, the right of such party to license or sublicense such Intellectual Property to the other party in the manner specified, without incurring any costs, obligations or liabilities to any other Person or violating any obligations to any other Person.
Licensable means, with respect to any Intellectual Property Right, that a Person has the power and authority to grant a license (or sublicense, as the case may be), on the applicable terms and conditions of this Agreement, to such Intellectual Property Right without any of the following: (i) the consent of any third party (unless such consent can be obtained without providing any additional consideration to such third party); (ii) impairing such Person’s existing rights in respect of such Intellectual Property Right (it being understood that the grant of any license hereunder, in and of itself, shall not be construed as an impairment of any of such Person’s rights); (iii) imposing any additional obligations on such Person under any preexisting agreement relating to such Intellectual Property Right; and/or (iv) the payment of royalties or other consideration on or after the Effective Date by such Person to any third party under any preexisting agreement relating to such Intellectual Property Right (other than to the University of Minnesota pursuant to the UMinn License). For the avoidance of doubt, in no event shall any Intellectual Property Right be “Licensable” if any of the foregoing conditions in clauses (i)-(iv) apply.
Licensable means, with respect to any Intellectual Property, that a Person has the power and authority to grant a non-exclusive license on the applicable terms and conditions of this Agreement, to such Intellectual Property without any of the following: (a) the consent of any third party (unless such consent can be obtained without providing any additional consideration to such third party), (b) impairing such Person’s existing rights in respect of such Intellectual Property (it being understood that the grant of a non-exclusive license, in and of itself, shall not be construed as an impairment of any of such Person’s rights), (c) imposing any additional obligations on such Person under any preexisting agreement relating to such Intellectual Property, and/or (d) the payment of royalties or other consideration on or after the Closing Date by such Person to any third party under any preexisting agreement relating to such Intellectual Property. For the avoidance of doubt, in no event shall any Intellectual Property right be “Licensable” if any of the foregoing conditions in clauses (a)-(d) apply.
Licensable means that Licensor or any of its Affiliates has the right to grant sublicenses to Licensee within the scope granted in Article II or Article III, as applicable, without (i) the need to obtain consent of any Third Party, (ii) the payment of royalties or other consideration by Licensor, its Affiliates or Licensee to any Third Party, (iii) any relinquishment of rights by Licensor or its Affiliates or any narrowing of or any material limitation on the license to Licensor or its Affiliates and (iv) reducing the number of sublicenses which Licensor or its Affiliates may grant under the license.
