Letters of Understanding means (i) the letter agreement dated March 31, 2003 among FAC, Cendant and the Depositor with respect to the obligations of FAC under the Fairfield Master Loan Purchase Agreement and Cendant’s guaranty of FAC’s performance under the Fairfield Master Loan Purchase Agreement and (ii) the letter agreement dated March 31, 2003 among Trendwest, Cendant and the Depositor with respect to the obligations of Trendwest under the Trendwest Master Loan Purchase Agreement and Cendant’s guaranty of the Trendwest performance under the Trendwest Master Loan Purchase Agreement.
