Letter of Credit Draw(s) definition

Letter of Credit Draw(s) means any draw(s), up to an aggregate maximum of Two Million ($2,000,000) Dollars, in accordance with the payment terms of the Letter of Credit and to the extent permitted by law.

  • The Agent's, the Issuing Bank's and each Lender's statement of account, ledger or other relevant record shall, in the absence of manifest error, be conclusive as the statement of the amount of principal of and interest on the Loans, the Unreimbursed Letter of Credit Draws, Fees and other amounts owing under this Agreement and shall be deemed an "account stated," and any conflict between or among the foregoing records shall be resolved by the Agent.
