Legal Fees and Expenses means: (i) fees paid or to be paid to attorneys for their time in investigating, preparing to defend, or defending the Federal Investigation, paid or to be paid by Spectranetics to or on behalf of Xxxxxxx; and (ii) expenses for investigating, preparing to defend, and defending the Federal Investigation, that were paid or to be paid by Spectranetics to or on behalf of Xxxxxxx.
Legal Fees and Expenses means defense counsel fees, costs, expert witness fees and similar expenses incurred in the defense of an "insured".

Legal Fees and Expenses. If the Executive institutes any legal action in seeking to obtain or enforce, or is required to defend in any legal action the validity or enforceability of, any right or benefit provided by this Agreement, the Company or other affected Employer shall reimburse the Executive for all reasonable costs and expenses relating to such legal action, including reasonable attorney’s fees and expenses incurred by the Executive, provided that such legal action results in either (a) a settlement requiring the Company to make a payment to the Executive or (b) a judgment or order in whole or in part in favor of the Executive, regardless of whether such judgment or order is subsequently reversed on appeal or in a collateral proceeding.
