Lead Investors definition

Lead Investors means collectively, BlackRock, GSO, Magnetar and, solely for purposes of Section 2.02(b), Investment Partners V (II), LLC.

• The Budget Review shall utilize consultants and independent experts representing the Lead Investors to confirm that the size of the Financing is sufficient to execute the clinical development plan.

• The vote or consent of any Lead Investor (a “Conflicted Lead Investor”) that is in material breach of its obligations hereunder, is a Defaulting Investor or has a conflict of interest with respect to a material matter under consideration by the Lead Investors shall not be counted for purposes of any authorization or approval referred to in the foregoing sentence.
