Landlord or Landlord s Consultant shall respond to Tenant's request for approval of any plans and specifications described in subsection I above within ten (10) business days following the submission of such plans and specifications prepared in accordance with the terms hereof. In the event Landlord or Landlord's Consultant shall disapprove of all or a portion of any of Tenant's plans and specifications, such disapproval shall be set forth in writing and shall include the reasons therefor in reasonable detail, in which event Tenant shall revise such plans and specifications and resubmit same to Landlord within five (5) business days thereafter, time being of the essence. Landlord or Landlord's Consultant shall respond to Tenant's request for consent of any such revised plans within five (5) business days following resubmission. The approval of plans and specifications by Landlord or Landlord's Consultant (hereinafter referred to as the "Final Plans") together with Tenant's satisfactory compliance with the requirements set forth in items (1) through (4) of Schedule D annexed hereto, shall be deemed an authorization for Tenant to proceed with Tenant's Initial Alteration, which shall be performed in accordance with the provisions of Article 3 and Schedule D of this Lease. Tenant shall reimburse Landlord for any reasonable fees of Landlord's Consultant incurred in connection with Tenant's Initial Alteration. Neither the recommendation or designation of an architect or engineer nor the approval of the final plans and specifications by Landlord or Landlord's Consultant shall be deemed to create any liability on the part of Landlord with respect to the design or specifications set forth in the Final Plans.
Landlord or Landlord s representative shall have the right but not the obligation to enter the Leased Premises for the purpose of inspecting the Leased Premises for compliance with all Environmental Laws and/or remedying any lack of compliance therewith. Tenant agrees to indemnify and hold Landlord harmless from all claims, demands, actions, liabilities, costs, expenses, damages and obligations of any nature arising from or as a result of Tenant's failure to comply with this section and/or the presence of Hazardous Substances introduced by Tenant (or any employee, agent, independent contractor or other person acting on Tenant's behalf) in or on the Leased Premises or any other portion of the Mill. As used herein, (a) the term "Environmental Law" means any Governmental Requirement relating to pollution or protection of the environment, and (b) the term "Hazardous Substances" means pollutants, contaminants, toxic or hazardous wastes, or any other substances, the removal and/or remediation of which is required or the use of which is regulated, restricted, prohibited or penalized by any Environmental Law. Such indemnification and the responsibilities of Tenant under this section shall survive the expiration or termination of this Lease.

  • In addition to the foregoing, Tenant shall be responsible for reimbursing The Alexandria Landlord or Landlord, as applicable, for all reasonable out-of-pocket costs expended by The Alexandria Landlord or Landlord, as applicable, in repairing any damage to the Shared Conference Facilities, the Amenities, or The Alexandria caused by Tenant or any Tenant Related Party.

  • Tenant shall not do any act which shall in any way encumber the title of Prime Landlord in and to the Building or the Property, nor shall the interest or estate of Prime Landlord or Landlord be in any way subject to any claim by way of lien or encumbrance, whether by operation of law by virtue of any express or implied contract by Tenant, or by reason of any other act or omission of Tenant.
