Knowledge of the Acquiror definition

Knowledge of the Acquiror means, with respect to any particular matter, the actual knowledge, after reasonable inquiry, of the individuals listed on Section 1.1(d) of the Disclosure Schedule.

Knowledge of the Acquiror means, with respect to the Acquiror, the actual knowledge of Mxxxxx Xxxxxxxxx or Mxxxxxx Xxxxxx.

Knowledge of the Acquiror or any similar phrase means the knowledge that a reasonable person in a like position of such Person would reasonably be expected to have.

• Section 5.17 of the Acquiror's Disclosure Letter contains a true and complete list of all Persons who, to the Knowledge of the Acquiror, may be deemed to be Affiliates of the Acquiror, excluding all its Subsidiaries but including all directors and executive officers of the Acquiror.

• To the Knowledge of the Acquiror, the Acquiror and its Subsidiaries have obtained all Permits that are necessary to carry on their businesses as currently conducted, except for any such Permits that the failure to possess which, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect on the Acquiror.

More Definitions of Knowledge of the Acquiror

Knowledge of the Acquiror or any similar phrase means the actual knowledge of any Person listed in Section 1.01(a) of the Acquiror Disclosure Schedule.

Knowledge of the Acquiror means, with respect to any fact, circumstance, event or other matter in question, the actual knowledge of Xxxxxxxxx X. Xxxxxxxxxx, Xx., Xxxx X. Xxxxxxxx, Xxxxx X. Sand or Xxxxxxx X. Xxxxxxx of such fact, circumstance, event or other matter.

Knowledge of the Acquiror means, with respect to the Acquiror, the actual knowledge of Ross Sklar or Darin Brown. “Knowledge of the Company” means, with respect to the Company, the actual knowledge of Demir Vangelov and Kevin Zaccardi.

Knowledge of the Acquiror means the actual knowledge of the Chairman of the Board, the President or any Vice President of the Acquiror.

Knowledge of the Acquiror means, with respect to the Acquiror, the actual knowledge of Lxxx Xxxxxxx Xxxxxxxxx Aizpuru, Jxxx Xxxxxx Hinterholzer and Joseba Asier Picaza Ucar.

Knowledge of the Acquiror means the knowledge of the Persons listed on Exhibit A of the Disclosure Letter under the heading “Knowledge of the Acquiror”, assuming reasonable inquiry of their direct reports.
