Knowledge of Borrowers definition

Knowledge of Borrowers means the actual knowledge (after reasonable inquiry) of any of the officers of any Borrower and each other Person with executive responsibility for any aspect of such Borrower's business.
Knowledge of Borrowers means the actual knowledge of Borrowers and the actual knowledge of any senior officer of Borrowers, or knowledge which Borrowers or any such senior officers should have possessed in the ordinary course of managing the business and affairs of the Borrowers in a manner consistent with the standards of a reasonably prudent business person in the long-term care industry.
Knowledge of Borrowers means the actual knowledge of any principal officer of National and of any principal officer of any of the Operating Subsidiaries, without conducting or requiring any agents of any of the Borrowers to conduct an independent review, examination or investigation in order to establish the basis for or the accuracy of the representation and warranty made by the Borrowers.

  • There are no strikes, lockouts, slowdowns or other material labor disputes against Borrowers pending or, to the Knowledge of Borrowers, threatened.

  • There exists no actual or, to the Knowledge of Borrowers, threatened, termination or cancellation of, or any material adverse modification or change in the business relationship of Borrowers with any supplier material to its operations which either individually or in the aggregate would reasonably be expected to have a Material Adverse Effect.

  • Except as set forth in Schedule 4.7, there are no suits, proceedings, claims or disputes pending or, to the Knowledge of Borrowers, threatened, against or affecting any Loan Party or any of any Loan Party’s Assets, or any Subsidiary or any of such Subsidiary’s Assets (a) that seeks damages in excess of $75,000 over applicable insurance, and as to which no reservation of rights has been taken by the insurer thereunder, or (b) which seek injunctive relief.

  • To the best Knowledge of Borrowers, there is no law, rule or regulation (including Regulations T, U and X of the Federal Reserve Board), nor is there any judgment, decree or order of any court or Governmental Authority binding on any Borrower which would be contravened by the execution, delivery, performance or enforcement of this Agreement and the Loan Documents to which any Borrower is a party.

  • There exists no actual or, to the Knowledge of Borrowers, threatened, termination or cancellation of, or any material adverse modification or change in the business relationship of any Borrower with any supplier material to its operations which either individually or in the aggregate would reasonably be expected to have a Material Adverse Effect.

  • The Eligible Accounts are bona fide existing payment obligations of Account Debtors created by the sale and delivery of Inventory or the rendition of services to such Account Debtors in the ordinary course of a Borrower's business, and, to the Knowledge of Borrowers, are owed to such Borrower without defenses, disputes, offsets, counterclaims, or rights of return or cancellation.

  • No Borrower or any Subsidiary is a party to or in any manner obligated under any contracts under which a default by either party might reasonably be expected to have a Material Adverse Effect, and, to the Knowledge of Borrowers, there exists no default under any of such contracts.

  • Except as set forth in Schedule 5.7, there are no suits, proceedings, claims or disputes pending or, to the Knowledge of Borrowers, threatened, against or affecting any Borrower or any of Borrower's Assets, or any Subsidiary (other than the Excluded Subsidiaries) or any of such Subsidiary's (other than the Excluded Subsidiaries) Assets, which are not fully covered by applicable insurance and as to which no reservation of rights has been taken by the insurer thereunder.

  • There are no actions, suits, proceedings or claims which are pending or, to the Knowledge of Borrowers, threatened against any Borrower or any Subsidiary which, if adversely resolved, might reasonably be expected to have a Material Adverse Effect.

  • To the Knowledge of Borrowers and except as set forth on Exhibit 6.1.1 hereto, no claim has been asserted to any Borrower or any of its Subsidiaries which is currently pending that their use of their Intellectual Property or the conduct of their business does or may infringe upon the Intellectual Property rights of any third party, the effect of which infringement could not reasonably be expected to have a Material Adverse Effect.

  • Borrower’s Knowledge or “Knowledge of the Borrower” means the actual knowledge of any person holding any of the following offices as of the date of determination: (a) President, Chief Executive Officer, any Executive Vice President, Chief Financial Officer, General Counsel, Secretary, Vice President-Human Resources, and Environmental Engineer, and any successor to those offices, such persons being the principal persons employed by the Borrower ultimately responsible for environmental operations and compliance, ERISA and legal matters relating to the Borrower or (b) the Treasurer or any other person having the primary responsibility for the day-to-day administration of, and dealings with the Administrative Agent and the Lenders in connection with, this Agreement.

  • Knowledge of Parent means the actual knowledge of the individuals listed on Section 1.1(a) of the Parent Disclosure Letter.

  • Knowledge of the Seller or “the Seller’s Knowledge” means the actual knowledge of any executive officer of the Seller after due inquiry into the facts or circumstances supporting any representation, warranty or statement qualified by such terms.

  • Knowledge of the Sellers means the actual knowledge of a fact or other matter, after due inquiry, of any one of the following individuals: Xxxxxx XxXxxxxxx, Xxxxx Xxxxxx, Xxxxxx Xxxxxx and Xxxx Xxxxxx.

  • Parent’s Knowledge means the actual knowledge of those individuals identified in Section 1.1(b) of the Parent Disclosure Schedule.

  • Knowledge of Sellers means the actual knowledge of the individuals listed on Section 1.1D of the Sellers’ Disclosure Schedule as to the matters represented and as of the date the representation is made.

  • Pending means that a prosecuting attorney is either actively investigating the factual basis of the alleged criminal conduct, is preparing to seek or is seeking an accusatory instrument, has obtained an accusatory instrument and is proceeding to trial or is in trial or in the process of negotiating a plea. When used with respect to a Person other than a natural person, the term "Best Knowledge" shall include matters that are known to the directors and officers of the Person.
