Junior Lien Secured Party definition

Junior Lien Secured Party means each holder of a Junior Lien Obligation, including the Junior Lien Trustee, each Junior Lien Representative and the Junior Lien Collateral Agent.
Junior Lien Secured Party shall have the meaning assigned to such term in the Intercreditor Agreement.
Junior Lien Secured Party means, at any time, the Collateral Trustee and each agent, trustee, noteholder, lender or issuing bank under Junior Lien Debt, in each case to the extent that the applicable Obligations are secured by Junior Liens, the beneficiaries of each indemnification obligation undertaken by any Grantor under any Junior Lien Document, each other Person that provides letters of credit, guarantees or other credit support related thereto under any Junior Lien Document and each other holder of, or obligee in respect of, any Junior Lien Obligations, in each case to the extent designated as a secured party (or a party entitled to the benefits of the security) under any Junior Lien Document outstanding at such time.

  • Any Junior Lien Secured Party that executes a supplement or joinder to the Intercreditor Agreement shall execute a supplement hereto agreeing to be bound by the terms of this Agreement.

  • The foregoing shall not be construed to prohibit the Junior Lien Agent from enforcing the provisions of this Agreement or any claims it, or any other Junior Lien Secured Party, may have against the Senior Lien Agent or any other Senior Lien Secured Party that are not the subject matter of this Agreement.

  • The Junior Lien Agent, for and on behalf of itself and the Junior Lien Secured Parties, agrees that no payment to the Senior Lien Agent or any Senior Lien Secured Party pursuant to the provisions of this Agreement shall entitle the Junior Lien Agent or any Junior Lien Secured Party to exercise any rights of subrogation in respect thereof until the Discharge of Senior Lien Obligations shall have occurred.

  • In exercising remedies, whether as a secured creditor or otherwise, the Senior Lien Agent shall have no obligation or liability to the Junior Lien Agent or to any Junior Lien Secured Party regarding the adequacy of any Proceeds or for any action or omission, except solely for an action or omission that breaches the express obligations undertaken by the Senior Lien Agent under the terms of this Agreement.
