Issuance Expenses means and includes, but need not be limited to, the costs of financial document printing, bond insurance premiums or other credit enhancement, underwriters' discount, verification of financial calculations, the services of bond rating agencies and trustees, the employment of accountants, attorneys, financial advisors, loan servicing agents, registrars, and paying agents, and any other costs related to the issuance of trust bonds;
Issuance Expenses means all items of expense directly or indirectly reimbursable to the District relating to the issuance, execution and delivery of the Bonds including, but not limited to, filing and recording costs, settlement costs, printing costs, reproduction and binding costs, legal fees and charges, fees and expenses of the Paying Agent, financial and other professional consultant fees, costs of obtaining credit ratings, municipal bond insurance premiums, fees for execution, transportation and safekeeping of the Bonds and charges and fees in connection with the foregoing.
Issuance Expenses means any and all expenses incurred in connection with the issuance of the Bonds including, but not limited to, any (a) underwriters’ compensation; (b) counsel fees; (c) financing advisor fees; (d) rating agency fees; (e) trustee fees; (f) paying agent and certifying and authenticating agent fees; (g) accounting fees; (h) printing costs; (i) costs incurred in connection with the required public approval process; (j) costs of engineering and feasibility studies necessary to the issuance of the Bonds (as opposed to such studies relating to completion of the Project); and (k) the issuance fee charged by, and expenses and disbursements of, the Issuer. Notwithstanding anything to the contrary herein, “Issuance Expenses” shall not include any bond insurance premiums and certain letter of credit fees that would be treated as interest expenses under the arbitrage restrictions of the Code.
Issuance Expenses. Means, in connection with each Issuance, all expenses, fees, commissions and other payments derived from such Issuance, including, without limitation, (a) all the fees of the Common Representative and of the Trustee in connection with such Issuance, (b) the payment of rights for the registration and listing of the respective CBFIs in the RNV and on the BMV, respectively, (c) the payments to Indeval for the deposit of the Global Certificate representing the respective CBFIs, (d) the fees of the External Auditor and the Independent Valuer incurred in connection with such Issuance, if any, (e) the fees of other auditors, tax advisors, legal advisors and other advisors with respect to such Issuance, (f) the fees and expenses payable to any underwriter in relation to the underwriting agreement or any similar agreement related to such Issuance (including documented legal expenses), (g) the expenses incurred by the Trust, the Manager or the Settlor in connection with such Issuance including, but not limited to, expenses of the negotiation and preparation of the documents relating to such Issuance, travel expenses and printing costs and expenses, (h) expenses related to the marketing of the offering of the CBFIs related to such Issuance, and (i) any VAT arising in connection with the foregoing.
Issuance Expenses means, with respect to any Permitted Replacement Debt, without duplication of amounts, the expenses incurred by the Borrower in connection with its issuance or sale of such Permitted Replacement Debt which would be capitalized and classified as debt issuance costs on a balance sheet of the Borrower prepared in accordance with GAAP as in effect on the date of this Agreement; provided, however, that "Issuance Expenses" -------- ------- do not include (a) any amount paid or payable by the Borrower to any Affiliate of the Borrower (other than, if the Affiliate retains a law firm as its counsel in connection with such issuance or sale, the reasonable fees and disbursements of such firm in that connection), (b) any underwriting or other similar discount or commission or (c) any unamortized debt discount.
