Piggyback Notice has the meaning specified in Section 2.02(a).
FOIA notice means a decision notice, enforcement notice and/or an information notice;
Income Tax Expense means for Borrower and its Subsidiaries, on a consolidated basis for any period, all state and federal franchise or income taxes paid or due to be paid during such period.
Non-Income Tax Return means any Tax Return relating to any Tax other than an Income Tax.
Short Form Notice means the Short Form Notice substantially in the form as
Contribution Notice means a contribution notice issued by the Pensions Regulator under section 38 or section 47 of the Pensions Xxx 0000.
Notice of Intent to Cure has the meaning specified in Section 6.02(b).
Notice of Final Distribution The notice to be provided pursuant to Section 9.02 to the effect that final distribution on any of the Certificates shall be made only upon presentation and surrender thereof.
Distribution Statement has the meaning set forth in Section 5.02(c) of the Trust Agreement.
Consolidated federal income tax return means a consolidated return filed for federal income tax purposes pursuant to section 1501 of the Internal Revenue Code.
Income Tax Return means any return, declaration, report, claim for refund, or information return or statement relating to Income Taxes, including any schedule or attachment thereto, and including any amendment thereof.
Joint Return means one return made jointly by a married individual with that individual's spouse.
Current Return means the minimum fair combined rate of return on common equity required for
Section 336(e) Election has the meaning set forth in Section 7.06.
Allocation Statement has the meaning set forth in Section 2.5.
Registration Notice has the meaning specified in Section 2.1(a).
10) Election has the meaning set forth in Section 6.05(a).
Section 338 Forms has the meaning set forth in Section 6.5(d).
valid return means a return furnished under sub-section (1) of section 39 on which self-assessed tax has been paid in full;
CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).
Demand Notice has the meaning set forth in Section 2(a)(i).
REMIC Election An election, for federal income tax purposes, to treat certain assets as a REMIC.
Rule 482 Statement means a document that contains the number of Securities issued, the offering price and any other items dependent upon the offering price, prepared in accordance with the provisions of Rule 482 of the 1933 Act, a copy of which shall be attached as Schedule D hereto. “Statutory Prospectus” as of any time means the prospectus relating to the Securities that is included in the Registration Statement immediately prior to that time, including any document incorporated by reference therein. Each preliminary prospectus and the prospectus filed as part of the effective Registration Statement or as part of any amendment thereto, or filed pursuant to Rule 497 under the 1933 Act, complied when so filed in all material respects with the Rules and Regulations and each preliminary prospectus and the Prospectus delivered to the Underwriters for use in connection with this offering was identical to the electronically transmitted copies thereof filed with the Commission pursuant to XXXXX, except to the extent permitted by Regulation S-T. If a Rule 462(b) Registration Statement is required in connection with the offering and sale of the Securities, the Fund has complied or will comply with the requirements of Rule 111 under the 1933 Act Rules and Regulations and Rule 3a of the Commission’s Internal and Other Procedures (“Rule 3a”) relating to the payment of filing fees thereof. The Fund, subject to the Registration Statement having been declared effective and the filing of the Prospectus under Rule 497, has taken all required action under the 1933 Act, the 1940 Act, the Securities and Exchange Act of 1934, as amended (the “1934 Act”) and the Rules and Regulations to make the public offering and consummate the sale of the Securities as contemplated by this Agreement.
Long Form Notice means the form of notice that shall be posted on the Settlement Website created by the Settlement Administrator and shall be available to Settlement Class members by mail on request made to the Settlement Administrator in the form attached as Exhibit 2.
Non-Regulatory Opportunity Cost means the difference between (a) the forecasted cost to operate a specific generating unit when the unit only has a limited number of starts or available run hours resulting from (i) the physical equipment limitations of the unit, for up to one year, due to original equipment manufacturer recommendations or insurance carrier restrictions, (ii) a fuel supply limitation, for up to one year, resulting from an event of Catastrophic Force Majeure; and,
Post-Distribution Tax Period means a Tax period beginning and ending after the Distribution Date.
