Independent Activities definition

Independent Activities has the meaning given such terms in Section 1.9 hereof.

Independent Activities. Neither this MOU nor any activities undertaken pursuant to it will prevent either Party from engaging in other activities, business, investment or profession; and, the fiduciary duties of the Parties shall be limited solely to those arising from the development and operation of the Projects and Partnerships in accordance with this MOU and any future agreement between the Parties for the formation of Partnerships.

Independent Activities. Any Partner, including the General Partner, and any partner, shareholder, officer, director, employee, affiliate or other person holding a legal or beneficial interest in any entity that is a Partner may engage in or possess an interest in other business ventures of every nature and description, independently or with others, whether such ventures are competitive with the Partnership or otherwise, including, without limitation, the acquisition, ownership, financing, leasing, operation, management, syndication, brokerage, sale, construction and development of real property that may be located in the market area or vicinity of any of the Partnership's properties or assets and neither the Partnership nor the Partners shall have any right by virtue of this Agreement in or to such independent ventures or to the income or profits derived therefrom.
