Despite the foregoing, the Vendor acknowledge to each of the Purchaser’s Indemnified Persons their direct rights against it under Section 10.3 of this Agreement.
The Contractor shall indemnify and hold the Owner Indemnified Persons harmless from and against Claims arising out of the Contractor’s performance of the Contract which are attributable to an infringement or an alleged infringement of a patent of invention by the Contractor or anyone for whose acts the Contractor may be liable, and this indemnity shall be deemed to be included in the terms of the indemnity set out in GC 12.1.1.
This Agreement is exclusively between the County and the Homeowner, and does not nor is intended to create any privity of contract with any other party not a party hereto other than the Indemnified Persons, nor to imply a contract in law or fact.
Except for the Indemnified Persons, no Person, other than the Parties, is entitled to rely on the provisions of this Agreement in any action, suit, proceeding, hearing or other forum.
