Inactive Members definition

Inactive Members means Former Members and Pensioners, and “Inactive Member” shall mean any one of them;
Inactive Members are Members who, at the time of determination, (1) have resigned from Active or Provisional Member status or have been removed from Active or Provisional Member status and (2) are still awaiting payment of distributions from their ICA. Except as otherwise expressly indicated in this Agreement, Inactive Members do not have voting rights. Inactive Members may not undertake any kind of activity on behalf of the Company and automatically cease to be Members (a) upon the Company’s full payment of any distributions due to an Inactive Member from such Inactive Member’s ICA or (b) as may otherwise be agreed upon between the Company and such Inactive Member.

  • The Plan, this Agreement, any document prepared in connection with this Agreement, the Plan or the Fund, and all of the Sponsor Body’s decisions, rules, regulations, policies and procedures made or established in accordance with this Agreement, the Plan or the Fund, shall be binding on the Representatives, the Parties, the Corporation, the Members, the Inactive Members and their respective beneficiaries, dependents, estates, heirs, executors, administrators, successors and assigns.
