Improper Calls definition

Improper Calls means call types that (i) would result in Sangoma incurring originating access charges, local exchange carrier “DIP” fees or other call types that may be subject to a reverse billing process, (ii) 911 / E911 or other emergency service calls; (iii) any unauthorized or fraudulent communications on pay-per-call numbers, information service calls, directory assistance calls or the like; and/or (iv) mass calling events, excessive non-completed and invalid calls and failed calls due to inadequate Customer capacity.
Improper Calls means call types that (i) would result in Provider incurring originating access charges, local exchange carrier “DIP” fees or other call types that may be subject to a reverse billing process, (ii) 911 / E911 or other emergency service calls; (iii) any unauthorized or fraudulent communications on pay-per-call numbers, information service calls, directory assistance calls or the like; and/or (iv) mass calling events, excessive non-completed and invalid calls and failed calls due to inadequate Customer capacity. “Inbound Calling” (or “Inbound Calls”) means a call from the PSTN through Provider or another IP endpoint to Customer.

Examples of Improper Calls in a sentence

  • Sangoma may take immediate action to prevent Improper Calls from taking place, including without limitation, denying any PBXact Cloud or SIPStation Service to specific ANIs and/or terminating these PBXact Cloud Terms and/or the PBXact Cloud or SIPStation Service.

  • The Customer is strictly prohibited from using (or reconfiguring to support such use) any toll-free service or any Toll-Free Numbers in connection with the PBXact Cloud or SIPStation Service) in connection with any outbound calls or any Improper Calls.

  • In addition to any rights or remedies that may be available pursuant to the MSA and/or the AUP, Bandwidth may immediately take any action to prevent Improper Calls, including, without limitation, denying Toll Free Service to particular numbers or terminating any Toll Free Service.

  • Xxxxxxxxx.xxx may take immediate action to prevent Improper Calls from taking place, including without limitation, denying any Xxxxxxxxx.xxx SIP Toll Free service to particular ANIs or terminating any Xxxxxxxxx.xxx SIP Toll Free services.

  • Improper Calls also include mass calling events, excessive non-completed and invalid calls and failed calls due to inadequate Customer capacity.

  • Customer shall indemnify and hold harmless Level 3, its officers, employees, agents and affiliates from and against any and all losses, claims, costs or damages of whatever nature arising from or relating to Customer’s use of Voice Service to place Improper Calls or otherwise in violation of this Section 2.2.

  • Improper Calls also include mass calling events, excessive non-completed and invalid calls and failed calls due to inadequate Customer trunking.

  • Customer will not use (or reconfigure to support such use) either Toll Free Service or any TFN obtained from Bandwidth in connection with Toll Free Service for any outbound calls placed by Customer or Customer’s End Users, or any Improper Calls.

  • Level 3 may take immediate action to prevent Improper Calls from taking place, including without limitation, denying any Voice Service to particular ANIs, or terminating any Level 3 Voice Services to or from specific affected locations.

  • Customer will not use (or reconfigure to support such use) either Toll Free Service or any TFN obtained from Provider in connection with Toll Free Service for any outbound calls placed by Customer or Customer’s End Users, or any Improper Calls.

Related to Improper Calls

  • Improper influence means any influence that induces or tends to induce a PHA/IHA employee or officer to give consideration or to act regarding a PHA/IHA contract on any basis other than the merits of the matter.

  • Improper Conduct means conduct which offers any obstruction to the deliberations of proper action of Council.

  • Improper Payment means: (a) any payment, offer, gift or promise to pay or authorization of the payment or transfer of other things of value, including without limitation any portion of the compensation, fees or reimbursements received hereunder or the provision of any service, gift or entertainment, directly or indirectly to (i) a Government Official; (ii) any director, officer, employee or commercial partner of a Party or its Affiliates; or, (iii) any other person at the suggestion, request or direction or for the benefit of any of the above-described persons and entities, for purposes of obtaining or influencing official actions or decisions or securing any improper advantage in order to obtain, retain or direct business; (b) payments made and expenses incurred in connection with performance of obligations under this Agreement that are not made and recorded with sufficient accuracy, detail, and control to meet the standards in applicable Anti-Corruption Laws; or, (c) any other transaction in violation of applicable Anti- Corruption Laws.

  • Improper governmental action means any action by a district officer or employee:

  • Mobile crisis outreach team means a crisis intervention service for minors or families of minors experiencing behavioral health or psychiatric emergencies.

  • Sexually oriented business means an adult arcade, adult bookstore or adult video store, adult cabaret, adult motel, adult motion picture theater, adult theater, escort agency, nude model studio, or sexual encounter center.

  • Sexual excitement means the condition of human male or female genitals when in a state of sexual stimulation or arousal.

  • Intimidating, threatening, abusive, or harming conduct means, but is not limited to, conduct that does the following:

  • Merchandise means any personal property offered or sold for use in connection with the funeral, final disposition, memorialization, or interment of human remains, but which is exclusive of interment rights.

  • Discom(s) means one or more of the following distribution companies:

  • Unauthorised expenditure , means any expenditure incurred by a municipality otherwise than in accordance with section 15 or 11(3) of the MFMA, and includes-

  • Sexual exploitation means any actual or attempted abuse of a position of vulnerability, differential power, or trust for sexual purposes. It includes profiting monetarily, socially, or politically from sexual exploitation of another.

  • On-Net Calls means calls between the Service and any of the following CenturyLink QCC Services: Hosted VoIP, SIP Trunk, Managed VoIP, Analog VoIP, Digital VoIP, or Integrated Access, and that are transmitted through the Service entirely over the CenturyLink QCC IP network and not the public switched telephone network (“PSTN”) or another carrier’s IP network.

  • Harassment, intimidation, or bullying means any gesture, any written, verbal or physical act, or any electronic communication, as defined in N.J.S.A. 18A:37-14, whether it be a single incident or a series of incidents that:

  • Threatening behavior means any pattern of behavior or isolated action, whether or not it is directed at another person, that a reasonable person would believe indicates potential for future harm to students, school personnel, or school property.

  • Falsification means manipulating research materials, equipment, or processes, or changing or omitting data or results such that the research is not accurately represented in the research record.

  • Backsiphonage means the flow of water or other liquids, mixtures or substances into the potable water system from any source other than its intended source, caused by the reduction of pressure in the potable water system.

  • UNFCCC means the United Nations Framework Convention on Climate Change or the Kyoto Protocol thereto.

  • Identifiable includes that the expenditures are recorded in the IP’s accounting system and that the accounting system shows which transactions represent the expenditures reported for each line on the FACE form. The term “verifiable” includes that the expenditures may be confirmed by the records in Article IX.)

  • Supplier’s Team means the Supplier and, where applicable, any Relevant Person, and all other employees, consultants, agents and sub-contractors which the Supplier engages in any way in relation to the supply of the Services or the Goods; and

  • DISCOM means Maharashtra State Electricity Distribution Company Limited.

  • Volunteer firefighter means a firefighter whose position normally requires less than 600

  • Off-Net Calls means any calls that are not (a) local calls, (b) 8xx outbound calls, or (c) On-Net Calls.

  • School grounds means in, or on the grounds of, a school.

  • Covered Customer means any Person who is or was an actual customer or client (or prospective customer or client with whom a Covered Party actively marketed or made or took specific action to make a proposal) of a Covered Party as of the date of the relevant act prohibited by this Section 2(b) or during the one (1) year period preceding such date.

  • Outdoor advertising means the act or process of notifying, warning, informing, making known or any other act of transferring information in a visible manner and which takes place out of doors;
