Grant Financing definition

Grant Financing means any Debt secured solely by (a) one or more grants provided by a Governmental Authority with respect to assets of the Borrower or its Subsidiaries located at, or used in the opening of the Saarland Facility, (b) the campus, facility, project or other development being financed with the proceeds of such grants and/or (c) and immaterial incidental assets related to the foregoing.
Grant Financing means any Indebtedness secured solely by (x) one or more grants provided by a Governmental Authority with respect to the Saarland Assets after the Closing Date, (y) the campus, facility, project or other development being financed with the proceeds of such grants and
Grant Financing means the grant funding arranged by the Sub-Lessee with the RSD to finance, in part, the Construction of the School Facility pursuant to the Grant Agreement.

  • Project Financing means: (a) one or more loans, leases, equity and/or debt financings, together with all modifications, renewals, supplements, substitutions and replacements thereof, the proceeds of which are used to finance or refinance the costs of the Customer Facility, any alteration, expansion or improvement to the Customer Facility, the purchase and sale of the Customer Facility or the operation of the Customer Facility; (b) a power purchase agreement pursuant to which Interconnection Customer’s obligations are secured by a mortgage or other lien on the Customer Facility; or (c) loans and/or debt issues secured by the Customer Facility.

  • Debt Financing has the meaning set forth in Section 5.7.

  • Qualified Equity Financing means the first sale (or series of related sales) by the Company of its Preferred Stock following the Date of Issuance from which the Company receives gross proceeds of not less than $1,000,000 (excluding the aggregate amount of securities converted into Preferred Stock in connection with such sale or series of related sales).

  • Stock Acquisition means the purchase or other acquisition by a Person or its Subsidiaries of all or substantially all of the Stock of any other Person.

  • Bridge means a structure including supports erected over a depression or an obstruction, such as water, a highway, or a railway, for the purposes of carrying traffic or other moving loads, and having an opening measuring along the center of the roadway of more than 20 feet between undercopings of abutments or spring lines of arches, or extreme ends of openings for multiple boxes where the clear distance between openings is less than 1/2 of the smaller contiguous opening.

  • Retail transaction means the purchase of prepaid wireless telecommunications service from a seller for any purpose other than resale.

  • Alternative Acquisition Agreement shall have the meaning set forth in Section 6.5(c).
