If CHGE is the Non-Defaulting Party and reasonably expects to incur penalties, fines or costs from the NYISO, the NYSPSC, or any other Governmental or Regulatory Authority, then CHGE may estimate the amount of those penalties and fines and include them in the Termination Payment amount.
Except as disclosed in the Parent SEC Reports filed prior to the date of this Agreement, Parent and its Subsidiaries and the Parent Joint Ventures are not in violation of or default under any law or order of any Governmental or Regulatory Authority, except for such violations or defaults which, individually or in the aggregate, are not having and would not reasonably be expected to have a material adverse effect on Parent and its Subsidiaries taken as a whole.
