Genentech Patents definition

Genentech Patents means all the Patent rights which are granted to Connetics under the Genentech License.
Genentech Patents means (i) those United States patents and patent applications listed on Exhibit C hereto, and any other patents or patent applications throughout the world owned, or licensed by Genentech with the right to grant sublicenses as of the Effective Date (except that the right to grant sublicenses may be as of the Effective Date or at any future time) that are necessary to make, have made, use or sell Licensed Product, (ii) any future patents and patent applications throughout the world that Genentech owns, or licenses from a third party with the right to grant sublicenses (at any time), that are necessary to make, have made, use or sell Licensed Product, (iii) all foreign counterparts of United States patents and patent applications described in (i) above, (iv) all patents that issue on applications described in (i), (ii) and (iii) above, and (v) all substitutions, extensions (including patent term
Genentech Patents means, to the extent Controlled by Genentech as of the Effective Date or during the Term: (a) the Existing Genentech Patents; and (b) all foreign and domestic: (i) Joint Patents issued during the Term that solely claim Genentech Inventions; (ii) Joint Patents issuing from patent applications that are pending during the Term that solely claim Genentech Inventions (including provisionals, divisionals, continuations and continuations-in-part of such applications); and (iii) substitutions, extensions, reissues, renewals and inventors certificates relating to the foregoing patents, in each case, which are necessary to make, have made, use, sell, have sold, offer for sale or import any of the Compounds or Products.

More Definitions of Genentech Patents

Genentech Patents means any Patent Right that is (a) Controlled by Genentech or its Affiliates as of the Execution Date or that comes into the Control of Genentech, its Affiliates or Sublicensees after the Execution Date and during the term of this Agreement, and (b) reasonably necessary or useful for the Research of any Compound or the Development or Commercialization of any Licensed Product or Subsequent Product. For clarity, Genentech Patents shall include Genentech’s interest in any Collaboration Patents.
Genentech Patents shall include, without limitation, the Factor-Based Patents and Genentech's rights under patents jointly owned pursuant to Section 7.04.
Genentech Patents means the Patent Rights granted pursuant to the Genentech License.
Genentech Patents means those patents owned in whole or in part now or in the future by Genentech and those patents to which Genentech has a license as of the Effective Date or in the future acquires a license and under which Genentech is free to grant a sublicense to Tanox for a Tanox Licensed Product, and which contain a Valid Claim covering the manufacture, use or sale of an Anti-IgE Antibody or a Tanox Licensed Product; provided, however, with respect to patents to which Genentech is a licensee, Tanox provides notice to Genentech that it wishes to receive a sublicense and agrees to pay Genentech such royalties, fees or similar payments that Genentech is obligated to make to its licensor for the grant of the license or for the manufacture, use or sale of a Tanox Licensed Product by Tanox or its sublicensee, adjusted as appropriate for the scope of the sublicense granted.
Genentech Patents means those Patents Controlled by GNE or its Affiliates as of the Effective Date or during the Term that are reasonably necessary to Research, Develop, Commercialize or Manufacture any Collaboration Construct or Collaboration Product. Genentech Patents excludes (a) jointly owned Program Patents and (b) Patents within Genentech Core Inventions.
Genentech Patents means any and all patents and patent applications that are owned by Genentech and solely based upon inventions conceived and reduced to practice by Genentech employees in the course of performing Genentech's development obligations under this Agreement under the Development Plan to the extent that would be infringed by the use, manufacture or sale of an existing Licensed Product that Genentech was developing or manufacturing, if any, prior to termination. For clarity, "Genentech Patents" shall not include (X) general patents that cover inventions that could be used for products other than such existing Licensed Product, including without limitation patents covering manufacturing or process inventions, (Y) any patents arising from or related to other work (i.e. activities other than Genentech's development obligations expressly set forth under this Agreement under the Development Plan), nor (Z) any patents and patent applications that are (i) owned by Genentech on or before the Effective Date or (ii) Controlled by Genentech.
Genentech Patents means, to the extent Controlled by Genentech during the Term, all foreign and domestic: (i) Patents filed during the Term that solely claim Genentech Inventions; (ii) Joint Patents filed during the Term that claim Joint Inventions (including provisionals, divisionals, continuations and continuations-in-part of such applications); and (iii) substitutions, extensions, reissues, renewals and inventors certificates relating to the foregoing patents; in each case (i), (ii) or (iii), which are necessary to make, have made, use, sell, have sold, offer for sale or import any of the Compounds or Renovis Products. For the avoidance of doubt, the term “Genentech Patents” excludes all Patents that are Controlled by Genentech but that do not meet the requirements of subsections (i), (ii) or (iii) above, including, without limitation, the Patents listed on Exhibit B hereto.
