This First Amendment (the “First Amendment”) to the Transfer Agency and Services Agreement dated June 1, 2022 (the “Agreement”) is entered into as of July 2 2022, 2022, between each of the investment vehicles listed on Schedule A of the Agreement, as amended hereto (the “Funds”) and DST Asset Manager Solutions, Inc.
In the event that a conflict should arise between the provisions of the Intellectual Property Agreement and the provisions of this First Amendment, the provisions of this First Amendment shall govern and be controlling.
This Second Amendment shall be deemed to be an integral part of the Intellectual Property Agreement, as amended by the First Amendment, subject to all of the terms thereof, as if stated in its entirety therein.
Except as modified by the provisions of this Second Amendment, the Intellectual Property Agreement, as amended by the First Amendment, shall both remain unmodified, unchanged and in full force and effect.
This First Amendment may be executed in one or more counterparts, all of which shall be considered one and the same agreement and shall become effective when one or more counterparts have been signed by each of the Parties and delivered to the other Party, it being understood that all Parties need not sign the same counterpart.
