Equity Securities definition

Equity Securities means, with respect to any Person that is a legal entity, any and all shares of capital stock, membership interests, units, profits interests, ownership interests, equity interests, registered capital, and other equity securities of such Person, and any right, warrant, option, call, commitment, conversion privilege, preemptive right or other right to acquire any of the foregoing, or security convertible into, exchangeable or exercisable for any of the foregoing, or any Contract providing for the acquisition of any of the foregoing.
Equity Securities means (i) any Common Stock, Preferred Stock or other security of the Company, (ii) any security convertible into or exercisable or exchangeable for, with or without consideration, any Common Stock, Preferred Stock or other security (including any option to purchase such a convertible security), (iii) any security carrying any warrant or right to subscribe to or purchase any Common Stock, Preferred Stock or other security or (iv) any such warrant or right.
Equity Securities means any and all shares of Common Stock of the Company, securities of the Company convertible into, or exchangeable or exercisable for, such shares, and options, warrants or other rights to acquire such shares.

Examples of Equity Securities in a sentence

  • Any Transfer in breach of this Agreement or which is not in accordance with applicable Law, shall be null and void, and shall not be binding on the Company, and the Company (acting through the Board) shall refuse to recognize any purported Transfer of Equity Securities in violation of this Agreement, and shall refuse to record or register any such Transfer of Equity Securities.

  • Any reference herein to the percentage of Equity Securities held by the New Investor 2 shall refer to the Equity Securities held collectively by each New Investor 2.

  • The Investors shall not Transfer any of the Equity Securities held by them, except in accordance with this Agreement.

  • The recipient of any Equity Securities pursuant to a Permitted Transfer shall be referred to herein as a “Permitted Transferee” and shall be deemed to be a Shareholder for all purposes of this Agreement.

  • Provided further if such Investor Permitted Transferee ceases to be the Affiliate of the Investor or ceases to be part of the same Beneficiary Class as the Investor, then it shall Transfer the Equity Securities back to the relevant Investor.

Equity Securities means Common Stock or Preferred Stock or any securities convertible into, exchangeable for or conferring the right to purchase (with or without additional consideration) Common Stock or Preferred Stock, except in each case, (i) any security granted, issued and/or sold by the Company to any director, officer, employee, advisor or consultant of the Company in such capacity for the primary purpose of soliciting or retaining his, her or its services, (ii) any convertible promissory notes issued by the Company, and (iii) any SAFEs issued.
Equity Securities means any capital stock or other equity interest or any securities convertible into or exchangeable for capital stock or any other rights, warrants or options to acquire any of the foregoing securities.
Equity Securities of any Person means (a) all common stock, preferred stock, participations, shares, partnership interests, membership interests or other equity interests in and of such Person (regardless of how designated and whether or not voting or non-voting) and (b) all warrants, options and other rights to acquire any of the foregoing.
Equity Securities means with respect to any entity, capital stock, membership interests, partnership interests, registered capital, joint venture or other ownership interests or any options, warrants or other securities that are directly or indirectly convertible into, or exercisable or exchangeable for, such capital stock, membership interests, partnership interests, registered capital or joint venture or other ownership interests (whether or not such derivative securities are issued by such person). Unless the context otherwise requires, any reference to “Equity Securities” refers to the Equity Securities of the Company.

Equity Securities means any equity securities of corporations or other entities (including such securities held in American Depositary Receipt (`ADRs') or similar form) including delivery statements related to contracts, if any, for the purchase of certain securities and cash, certified or bank check or checks or letter of credit or letters of credit sufficient in amount or availability required for such purchase, deposited in irrevocable trust and listed on Schedule A of the Trust Agreement, and any securities received in addition to, or in exchange, substitution or replacement for, such securities pursuant to Sections 2.01, 3.11 and 3.12 hereof, as may from time to time continue to be held as a part of the Trust."
