Elan Intellectual Property definition

Elan Intellectual Property has the meaning assigned thereto in the Elan License Agreement.

Elan Intellectual Property means the Elan Patent Rights and/or the Elan Know-How.

Elan Intellectual Property shall have the meaning as such term is defined in the Amended Elan License Agreement.

• Expect as expressly set forth in Article 2.2, nothing in this Agreement will impair Acorda’s right to independently acquire, license, develop for itself, or have others develop for it, intellectual property and technology performing similar functions as the Elan Intellectual Property or to market and distribute products based on such other intellectual property and technology.

• Subject to the provisions of Article 12.1 Elan may use the Elan Intellectual Property and all technical and clinical data or improvements generated by Elan pursuant to this Agreement in connection with Elan’s commercial arrangements for the Product in any country which ceases to be a part of the Territory, or in relation to the Product in the Territory in the event of the termination of this Agreement.

• Elan is and shall remain the owner of the Elan Intellectual Property and Elan Oral Controlled Release Patents.

• Subject to the terms of this Agreement and the terms of the Commercial Manufacture and Supply Agreement, Elan hereby grants to Zogenix a non-exclusive license under the Elan Intellectual Property to make or have made the Product in the Field in the Territory (the “Manufacturing License”), which Zogenix shall not be entitled to utilize except where there is a Failure to Supply.

Elan Intellectual Property means the Elan Know-How, the Elan Patents and the Elan Improvements. For the avoidance of doubt, Elan Intellectual Property shall exclude inventions, patents and know-how owned, licensed or controlled by the Excluded Entities.

Elan Intellectual Property means the Elan Know-How, the Elan Patent Rights and/or the Elan Improvements. Schedule 1 hereto shall contain, by way of illustration but not limitation, examples of Elan Intellectual Property. For the avoidance of doubt, Elan Intellectual Property shall consist of Oral drug delivery technology Controlled by Elan doing business as Elan Pharmaceutical Technologies and shall exclude (a) the Excluded Elan Technology, (b) inventions, patents and know-how Controlled by all other affiliates or subsidiaries of Elan, including, but not limited to the Elan Pharmaceuticals division which incorporates Athena Neurosciences, Inc., Carnrick Laboratories, Targon Corporation and Neurex Corporation and (c) inventions, patents and know-how that are subject to contractual obligations of Elan to third parties as of the Effective Date to the extent the licensing of such inventions, patents and know-how is restricted or limited;

Elan Intellectual Property means the Elan Patents, the Elan Know-How and the Elan Improvements.

Elan Intellectual Property means the Elan Know-How and the Elan Patent Rights. For the avoidance of doubt, Elan Intellectual Property shall exclude (a) Elan's patent rights and know-how relating to [***] and (b) inventions, patents and know-how owned, licensed or controlled by affiliates or subsidiaries of Elan Corporation, plc, including Athena Neurosciences, Inc., Carnrick Laboratories Inc., Elan Pharmaceuticals Inc.
