Dissent Rights definition

Dissent Rights means the rights of dissent in respect of the Arrangement described in the Plan of Arrangement;

• The Company shall give the Parent prompt notice, to the extent Parent has been notified in writing, of any purported exercise or withdrawal of Dissent Rights by Company Shareholders and any other instruments served pursuant to Applicable Law and received by the Company in respect of any Dissent Rights.

• The Company may not, except with the prior written consent of the Parent, make any payments with respect to any Dissent Rights or settlement or offer to settle any demands in respect of Dissent Rights, or waive any failure by any holder of Common Shares to timely deliver a notice of exercise of Dissent Rights without the prior written consent of the Parent.
