Disputed Amounts definition

Disputed Amounts has the meaning set forth in Section 2.04(c)(iii).
Disputed Amounts as used in Section 11.9 below, means the amount that the Disputing Party contends is incorrectly billed.
Disputed Amounts. An amount or any portion of bill or invoice sent to a Party that the billed Party contends, in good faith, is not due and payable. For an amount to qualify as a Disputed Amount, the billed Party must provide written notice to the billing Party of the nature and amount of the disputed charge(s) using the process and time period established by the billing Party.

Examples of Disputed Amounts in a sentence

  • Except as otherwise provided herein, any payment of the Post-Closing Adjustment Amount shall be due, and any written instructions to the Escrow Agent shall be delivered to the Escrow Agent, (i) within five (5) Business Days of acceptance (or deemed acceptance) of the applicable Closing Statement or (ii) if there are Disputed Amounts, then within five (5) Business Days of the resolution of such Disputed Amounts pursuant to Section 2.06(c)(iii).
