Developed Products definition

Developed Products means the radio frequency identification (RFID) transponder invention, together with related devices, labeling, packaging, and/or reader equipment described on Schedule 1, whether or not such transponder is injected or implanted, and including any Improvements developed during the Term, but not including any New Products, unless such New Products are added to this Agreement as contemplated in Section 3(e) of this Agreement, in which case such New Products will be deemed to be included in the Developed Products.

Developed Products means collectively, (1) the T2Bacteria II Panel and (2) the T2GNR Panel, each developed pursuant to the Project Plan.

• This Agreement, and the licence granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 7, shall continue in force until the [[tenth (10th)] anniversary of the [Commencement Date] or [the [tenth (10th)] anniversary of the first commercial sale of any Developed Products and Services in any Territory].

• If any warning letter or other notice of infringement is received by a Party, or legal suit or other action is brought against a Party, alleging infringement of third party rights in the manufacture, use or sale of any Developed Products and Services or in the use of the RPO Software, that Party shall promptly provide full details to the other Party, and the Parties shall discuss the best way to respond.

• The Licensee shall indemnify the RPO against all third party Claims that may be asserted against or suffered by the RPO and which relate to: the use by the Licensee of the RPO Software; the development, manufacture, use, marketing or sale of, or any other dealing in, any of the Developed Products and Services, by the Licensee, or by any other person, including claims based on product liability laws; or a breach by the Licensee of any laws or regulations in the Territory, including any Bribery Event.

• MC owns all intellectual property rights associated with the Developed Products and retains all ownership rights associated with future upgrades, changes and enhancements, regardless of who makes the upgrade change or enhancement.

• Royalties due under this Agreement shall be paid within thirty (30) days of the end of each quarter ending on 31 March, 30 June, 30 September and 31 December, in respect of sales and other supplies of Developed Products and Services made during such quarter and within thirty (30) days of the termination of this Agreement.

More Definitions of Developed Products

Developed Products means any materials, compositions, biologic, drugs, other products (including combination products), or methods which but for the use of the BIOLOGICAL MATERIALS licensed hereunder could not be developed, made, invented, discovered or derived. For the avoidance of doubt, DEVELOPED PRODUCT(S) (as defined above) shall include [***].

Developed Products means Products solely developed by either Party during the term of this Agreement, including solely developed derivatives of Jointly Developed Products; provided however, that Developed Products shall not include cut-downs of Jointly Developed Products.

Developed Products means Products with definitive Product Specifications suitable to the requirements of Integral or Integral's customer(s), as applicable.

Developed Products means any diagnostic, therapeutic or prophylactic product that is discovered, designed, developed or tested by Licensee or any of its Affiliates or Sublicensees using Licensed Intellectual Property, where the product itself, or the manufacture, use, sale or import of the product, is not covered by any Patent Rights and does not incorporate or use any Biological Materials or Technical Information.

Developed Products shall refer to and mean those products which are referenced in Exhibit B, as well as any similar shapes, sizes and Improvements, which items are processed out of UFTB's Licensed Technology. "Improvements" shall mean any modification of a Developed Product which encompasses one or more of the elements of the Licensed Technology.

Developed Products means as defined in Section 2.3.

Developed Products means the Source Code and Binary Code forms of the Library Monitor Software and its related Add-on Modules and Sun Features to be developed by Developer for Sun under this Agreement, including any Error Corrections, Updates, Upgrades, revisions, and any related Documentation, all as more fully set forth in the Statement of Work, and any additional products which the parties may agree to develop hereunder in accordance with an additional Statement of Work, including but not limited to the [ * ] Software and its related Add-on Modules and Sun Features.
