Delivery of records. If the Principal Paying Agent resigns or its appointment is terminated, it shall on the date on which the resignation or termination takes effect pay to the new Principal Paying Agent any amount held by it for payment in respect of the Notes or Coupons and deliver to the new Principal Paying Agent all records kept by it and all Notes and Coupons held by it pursuant to this Agreement.
