Convertible Note definition

Convertible Note means an instrument issued by a startup company evidencing receipt of money initially as debt, which is repayable at the option of the holder, or which is convertible into such number of equity shares of such startup company, within a period not exceeding five years from the date of issue of the convertible note, upon occurrence of specified events as per the other terms and conditions agreed to and indicated in the instrument;
Convertible Note shall have the meaning ascribed to such term in Section 2.1.
Convertible Note means an Existing Convertible Note or a New Convertible Note.

  • Neither the Company nor any agent on its behalf has solicited or will solicit any offers to sell or has offered to sell or will offer to sell all or any part of the Convertible Note to any person or persons so as to bring the sale of the Convertible Note by the Company within the registration provisions of the Securities Act or any state securities laws.
