Company Shareholder Consent definition

Company Shareholder Consent means a written consent of the Company Shareholders, in the form attached to the Voting Agreement, pursuant to which the Company Shareholders will, among other things, authorize and approve this Agreement, the Merger and the other transactions contemplated hereby.
Company Shareholder Consent has the meaning set forth in the Recitals.
Company Shareholder Consent has the meaning set forth in Section 7.5(c).

  • The Company has all requisite corporate power and authority to enter into this Agreement and, subject to receipt of the Company Shareholder Consent, to complete the transactions contemplated hereby.
