Company Registered IP definition

Company Registered IP means all of the Registered IP owned by, under obligation of assignment to, or filed in the name of, the Company or any of its Subsidiaries.

Company Registered IP means all Intellectual Property for which registrations are owned by or held in the name of, or for which applications have been made in the name of, any Group Company.

Company Registered IP has the meaning set forth in Section 3.10(a).

Examples of Company Registered IP in a sentence

• All assignments to the Company or any of its Subsidiaries of Company Registered IP that is Company Owned Intellectual Property have been properly executed and recorded.

• The Company and each of its Subsidiaries have made all filings and payments required to be made to maintain each item of such Company Registered IP in full force and effect by the applicable deadline and otherwise in accordance with all applicable Laws.

• Each item of Company Registered IP that is registered is in full force and effect; valid, subsisting and enforceable; and has been prosecuted in compliance with all applicable rules, policies and procedures of the applicable Governmental Authorities.

• The Company Registered IP is subsisting and, to the Knowledge of the Company, valid and enforceable.

• All necessary registration, maintenance and renewal fees in connection with the Company Registered IP have been paid and all documents and certificates related to the registration, maintenance and renewal of the Company Registered IP have been timely filed with the relevant authorities or registrars for the purposes of maintaining such Company Registered IP.

More Definitions of Company Registered IP

Company Registered IP means all Intellectual Property Rights in Company-Owned IP that are registered, filed or issued under the authority of, with or by any Governmental Body, including all patents, registered copyrights, registered trademarks and all applications for any of the foregoing.

Company Registered IP shall have the meaning set forth in Section 4.15(a).

Company Registered IP is defined in Section 3.8(a) of the Agreement.

Company Registered IP has the meaning set forth in Section 5.19(a).

Company Registered IP means (i) all Patents, registered Trademarks, applications to register Trademarks, registered Copyrights, applications to register Copyrights, and Domain Names included in the Company Intellectual Property that are registered, recorded or filed by, for, or under authorization from (or in the name of) the Company or any of its Subsidiaries, and (ii) any other applications, registrations, recordings and filings by the Company or any of its Subsidiaries (or otherwise authorized by or in the name of the Company or any of its Subsidiaries) with respect to any Company Intellectual Property.

Company Registered IP shall have the meaning set forth in Section 2.9(a).

Company Registered IP means all Company Owned IP that is registered, subject to a pending application for registration, subject to a pending application for patent, or issued by an IP Registry, including, without limitation, all patents, registered copyrights, registered mask works, registered trademarks and all applications for any of the foregoing, including Company Owned IP that is no longer used or that Company intends to cease using (the “Legacy Company Registered IP”).
