Except as otherwise agreed to in writing by Parent and any Company Optionholder with respect to any of such Company Optionholder’s Company Options, all payments of Company Option Merger Consideration shall be made (without interest) in accordance with Section 3.1(e) and net of any amounts that are required to be withheld or deducted under the Code or any applicable provision of Law.
Immediately after execution of this Agreement, the Company shall solicit from each Company Optionholder an executed Optionholder Agreement and from each Company Warrantholder other than the Excluded Company Warrantholders, an executed Warrantholder Agreement.
Subject to Section 5.9(e), all payments of the applicable portion of the Aggregate Company Option Closing Amount to each Company Optionholder shall be made (without interest) by the Surviving Corporation to such Company Optionholder no later than the next regularly scheduled payroll date but in no event shall the Surviving Corporation be required to make such payments sooner than three (3) Business Days after the Closing Date.
A Company Optionholder shall not be entitled to receive any specified cash amount or any contingent right under Section 5.9(c) until such Company Optionholder has delivered to Parent a duly executed and fully completed Company Optionholder Surrender Form.
The amount of cash each Company Optionholder or Excluded Company Warrantholder is entitled to receive pursuant to this Section 1.8(a)(ix) for the Company Options or Excluded Company Warrants held by such Company Optionholder or Excluded Company Warrantholder as of immediately prior to the Effective Time shall be rounded to the nearest cent and computed after aggregating cash amounts for all Company Options or Excluded Company Warrants held by such Company Optionholder or Excluded Company Warrantholder.
