The copies of the Company Charter and the Company Bylaws previously made available by the Company to Buyer or its representatives are true and complete.
The copies of the Company Certificate of Incorporation and the Company Bylaws and all amendments thereto set forth in the Company SEC Reports are true, complete and correct, and in full force and effect as of the Agreement Date, and the Company is not in violation of any provision of the Company Certificate of Incorporation or the Company Bylaws.
