Closing Net Working Capital definition

Closing Net Working Capital has the meaning set forth in Section 2.6(a).

Closing Net Working Capital means the Net Working Capital as of the open of business on the Closing Date.

More Definitions of Closing Net Working Capital

Closing Net Working Capital means (a) the sum of (i) the Accounts Receivable plus the notes and trade accounts receivable of the Acquired Company, and (ii) the Inventory, the Prepaid Inventory plus the inventory of the Acquired Company, minus (b) the accounts payable and other current liabilities of the Acquired Company, in each case calculated as of the close of business on the Closing Date, in accordance with the Calculation Principles and with the line items contained in the sample of the Final Closing Net Working Capital set forth in Schedule 2.6(h).

Closing Net Working Capital means (a) the aggregate amount of Closing Current Assets minus (b) the aggregate amount of Closing Current Liabilities.

Closing Net Working Capital has the meaning set forth in Section 1.9.1.

Closing Net Working Capital shall have the meaning ascribed to it in Section 1.3(b).

Closing Net Working Capital means the Net Working Capital as of 11:59 p.m. on the last calendar day prior to the Effective Time.
