  • In connection therewith, as of the Closing Date, in exchange for the REMIC II Assets, the Trust does hereby issue to the Company the REMIC II Regular Interests (other than the Class X-1, Class X-2 and Class X-3 Certificates) and the Class R-2 Residual Interest and the Trustee on behalf of the Trust shall cause to be authenticated and delivered, upon and pursuant to the order of the Company, the Class R, Class X-1, Class X-2 and Class X-3 Certificates in Authorized Denominations.

  • The pass-through rate for the Class X-3-P Component of the Class X-3 Certificates on any Distribution Date will be a per annum rate equal to the Group III Net WAC Rate for that Distribution Date.

  • With respect to the Class X-3 Certificates and each Distribution Date, any amount of Net Deferred Interest added to the Principal Balances of the related Mortgage Loans that is allocated to the Class X-3 Certificates on such Distribution Date will be added as principal to the outstanding Class Principal Balances of the Class PO-3 Certificates.
