Upon and following a Change in Control (including upon the occurrence of a Post CIC Termination, if applicable), the Executive’s equity incentive awards granted under the Equity Plan or the Xxxxxxxx Soup Company 2015 Long-Term Incentive Plan (the “Equity Awards”) shall be governed by the terms of Section 12.3 of the Equity Plan as in effect from time to time (subject to the amendment limitations set forth in Section 12.4 of the Equity Plan).

The CIC Severance Payment, if any, payable hereunder shall be paid in one lump sum within five business days following the satisfaction of the Release Requirement.
