Certificated Shares definition

Certificated Shares means a share which is not an uncertificated share and references in these Articles to a share being held in certificated form shall be construed accordingly;

Certificated Shares mean Shares evidenced by Certificates.

Certificated Shares is defined in Section 2.6(b) of the Agreement.

Examples of Certificated Shares in a sentence

• Certificated Shares: Notwithstanding anything to the contrary in the Equity Definitions, Dealer may, in whole or in part, deliver Shares required to be delivered to Counterparty hereunder in certificated form in lieu of delivery through the Clearance System.

• The Company shall pay any and all transfer, stamp, issuance and similar taxes that may be payable with respect to the issuance and delivery of Pre-Installment Conversion Shares, Post-Installment Conversion Shares, Pre-Installment Certificated Shares, and Post-Installment Certificated Shares.

• If a Payment Default has occurred and the Pre-Installment Certificated Shares for the applicable Certificated Shares Installment Date exceed the Post-Installment Certificated Shares, then Holder shall not be required to return to the Company any of the excess shares or apply such excess shares to any future issuance or conversion of shares hereunder.

• So long as no Payment Default has occurred, if the Pre-Installment Certificated Shares for the applicable Certificated Shares Installment Date exceed the Post-Installment Certificated Shares, then the excess will be applied towards the next Conversion Shares to be issued by the Company (unless the Outstanding Balance has been reduced to zero, in which case Holder will return such excess shares to the Company).

• Restricted Certificated Shares: Notwithstanding anything to the contrary in the Equity Definitions, Dealer may, in whole or in part, deliver Shares required to be delivered to Counterparty hereunder in certificated form in lieu of delivery through the Clearance System.

More Definitions of Certificated Shares

Certificated Shares means shares represented by instruments in bearer or registered form.

Certificated Shares means shares in the capital of the Company which are evidenced by certificates which have been issued and not subsequently cancelled and "Certificated Holding" has a like meaning;
