  • Buyer shall have performed and complied in all material respects with all covenants and agreements required or contemplated by the Transaction Documents to be performed by it on or prior to the Closing Date, and Buyer shall have delivered to Seller a Certificate of Buyer to that effect, dated as of the Closing Date, signed by an authorized officer of Buyer.
