Bundled Offering definition

Bundled Offering means (i) any Bundled Offering (as defined in the ****) covered by a Partner Schedule pursuant to the Framework Amendment; or (ii) a bundled offering of the Premium Subscription by an Authorized Distributor pursuant to a Bundle Deal.
Bundled Offering means Sprint Content bundles, which may be comprised of multiple sources of Content as determined by Sprint, and approved by Sprint for sale to Users.
Bundled Offering means an Order that includes the underlying required Third Party Software licensed by deepwatch and used by Customer to the extent applicable. Bundled Offerings are subject to the Third Party Software licensor’s flow down term and conditions more fully provided in Section 10.17,

Examples of Bundled Offering in a sentence

  • Licensee of an ISV License may make copies of the Software as required for the ISV Bundled Offering for a Customer.

  • Subject to the terms and conditions of this Agreement, Windward hereby appoints Licensee as a non- exclusive application service provider utilizing the Software solely as part of an ASP Bundled Offering to Customers for the Order Term.

  • Subject to the terms and conditions of this Agreement, Windward hereby appoints Licensee for the term of this Agreement as a non-exclusive value-added reseller of the Software solely as part of an ISV Bundled Offering to Customers.

  • The ISV Bundled Offering shall only be supplied to Customer with a Customer Key obtained from Windward.

  • Windward may, in its reasonable discretion, contact any Customer at any time for any purpose related to such Customer’s use of the ASP Bundled Offering or ISV Bundled Offering, as applicable.

  • Subject to the terms and conditions of this Agreement, Apryse hereby appoints Licensee as a non- exclusive application service provider utilizing the Software solely as part of an ASP Bundled Offering to Customers for the Order Term.

  • Licensee of an OEM License may make copies of the Software as required for the OEM Bundled Offering for a Customer.


More Definitions of Bundled Offering

Bundled Offering means Sprint Content bundles, which may be comprised of multiple sources of Content as determined by Sprint, and approved by Sprint for sale to Users, “Content” means and includes the Applications described in Section 1 hereof (and in any Exhibits referenced therein), any and all content provided or included in the Company Services, Content Additions, Sprint Billed Content, Advertising Supported Content, data, graphics, sounds, text, features, functionality, software programs, services and other information and material in electronic form provided by Company hereunder for sale to Users as set forth herein, including any Enhancements and related Company Services. Payments, pricing and other applicable terms are contained in Exhibit D.
Bundled Offering means (a) the sale by Customerthe MOR of two or more items of Merchandise at a single price, (b) that is processed via the Content Direct System, (c) whereby one or more items of Merchandise included in the offering is discounted or made available to Consumers at no charge, and (d) Customerthe MOR has received no monies from sponsorship, promotional or advertising sources (a “Sponsor”) to subsidize or offset the discount. For example, CustomerMOR makes available a streamed movie for $5.99 and a piece of Non-Electronic Merchandise for $19.99 on an individual basis. CustomerMOR may make a “Bundled Offering” whereby the same movie and Non-Electronic Merchandise may be purchased at a price which includes a fifty percent (50%) discount off the Non-Electronic Merchandise such that the Bundled Offering is made available for $14.99. The Commerce Intake of a Bundled Offering is based on the gross aggregate sale of the Bundled Offering to the Consumer, and the discount is not deemed Commerce Intake or subject to Percent-of-Commerce Fees. If CustomerMOR received any monies from a Sponsor to subsidize or include any content in the Bundled Offering, then the discount and additional content will be deemed a Consumer Subsidy Code, and the Subsidy Code Value of that discount will be deemed Commerce Intake and subject to Percent-of-Commerce Fees. For the avoidance of doubt, a Bundled Offering differs from a Consumer Subsidy Code in that a Bundled Offering reflects CustomerMOR’s own merchandising and discounting of its Merchandise through a sale processed by the Content Direct System (i.e., CSG receives Percent-of-Commerce Fees on the transaction) while a Consumer Subsidy Code subsidizes in whole or part the principal transaction processed by the Content Direct System and CustomerMOR receives monies related to such transaction outside of the Content Direct System from a Sponsor or one of CustomerMOR’s own Consumer channels other than the Content Direct System.
Bundled Offering means a combination of one or more PW Offerings and one or more MDA Offerings, offered for sale as a unit.

Related to Bundled Offering

  • Limited Offering means an offering that is exempt from registration under the Securities Act of 1933 pursuant to Section 4(2) or Section 4(6) or pursuant to Rule 504, Rule 505, or Rule 506 under the Securities Act of 1933.

  • Offering shall have the meaning ascribed to such term in Section 2.1(c).

  • Rule 415 Offering means an offering on a delayed or continuous basis pursuant to Rule 415 (or any successor rule to similar effect) promulgated under the Securities Act.

  • Qualified Offering in Section 1.1 of the Securities Purchase Agreements is deleted and replaced with the following:

  • Underwritten Public Offering means an underwritten Public Offering, including any bought deal or block sale to a financial institution conducted as an underwritten Public Offering.

  • Initial Public Offering means an offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration, was not subject to the reporting requirements of sections 13 or 15(d) of the Securities Exchange Act of 1934.

  • Net Offering Proceeds means the proceeds received from (a) the issuance of any Capital Stock or (b) the incurrence of any Indebtedness, in each case net of the actual liabilities for reasonably anticipated cash taxes in connection with such issuance or incurrence, if any, any underwriting, brokerage and other customary selling commissions incurred in connection with such issuance or incurrence, and legal, advisory and other fees and expenses, including title and recording tax expenses, if any, incurred in connection with such issuance or incurrence.

  • Subscription Offering means the offering of the Conversion Stock to Participants.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Initial Public Offering Price means the price per share of APP Common Stock received by APP before underwriting commissions, discounts or other fees in connection with its Initial Public Offering.

  • Qualified Initial Public Offering means a firm underwritten offering of the Company pursuant to a registration statement under the Securities Act (i) of common Capital Stock having an aggregate gross offering price of at least $50,000,000 and (ii) reasonably expected to result in more than 100 holders of record of Voting Stock of the Company (exclusive of holdings of Affiliates and employees of the Company).

  • Initial Public Offering” or “IPO means an offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration, was not subject to the reporting requirements of Sections 13 or 15(d) of the Securities Exchange Act of 1934.

  • Registered Offering Transaction Documents means this Agreement and the Registration Rights Agreement between the Company and the Investor as of the date herewith.

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • Equity Offering means any public or private sale of common stock or Preferred Stock of the Company or any of its direct or indirect parent companies (excluding Disqualified Stock), other than:

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Underwritten Shelf Takedown shall have the meaning given in subsection 2.3.3.
