Bought Deal definition

Bought Deal means an Underwritten Public Offering of the type which is commonly known as a “bought deal,” “block trade” or “overnight offering” or pursuant to which an underwriter has committed to purchase securities of the Company in a “bought deal” letter prior to the filing of a prospectus under applicable Canadian Securities Laws, as permitted by NI 44-101.
Bought Deal means a public offering of securities as described in the definition of “bought deal agreement” in Section 7.1 of National Instrument 44-101 – Short Form Prospectus Distributions;
Bought Deal has the meaning set forth in Section 8(a).

Examples of Bought Deal in a sentence

  • The closing of the Bought Deal Private Placement is anticipated to occur on or about 3 December 2020, and the net proceeds of the Bought Deal Private Placement will be used to replace part of the Intact Bridge Facilities.

  • A Bidco, an indirect whollyǦowned subsidiary of Slate, has agreed, subject only to completion of the Bought Deal (as such term is defined in the Transaction Agreement), to make a recommended offer for the entire issued and to be issued share capital of Yew Grove, on the terms set out in the Rule 2.5 Announcement and the Transaction Agreement (in each case, as defined below).

Bought Deal has the meaning set forth in Section 2(a)(v).

Bought Deal means an Underwritten Shelf Takedown in which Underwriter(s) agree to purchase Registrable Securities at an agreed price without a prior marketing process.
