Board Designees definition

Board Designees means the Directors designated by the Principal Stockholders pursuant to Section 2.1.

Board Designees means individuals whose nomination for election, appointment or election as directors of the Parent is effectuated pursuant to (a) the Governance Agreement or (b) the Series A Certificate of Designation or the Series B Certificate of Designation.

Board Designees has the meaning set forth in Section 2.2(b).

Examples of Board Designees in a sentence

• For a period of two years following the Closing Date, any amendment to (i) Article II, Section 12(a)(1), (ii) Article III, Section 11, (iii) Article III, Section 18, (iv) Article IV, Section 1 or (v) this sentence of the Bylaws shall be valid only if approved by a majority of the entire Board of Trustees, including a majority of each of the JBG Board Designees and Vornado Board Designees.

• The Board Designees shall be duly appointed in accordance with the Company's By-laws, Certificate of Incorporation and the General Corporation Law of Delaware.

• Any Suspension Period shall end upon the election of the Purchaser Board Designees that Investor is entitled to designate under the terms of Section 5.10 of the Investment Agreement.

• For the avoidance of doubt, the Purchaser Group’s rights to designate for nomination the Purchaser GGO Board Designees pursuant to Section 2 and Subscription Rights pursuant to Section 1 may not be Transferred to a Person that is not a member of the Purchaser Group.

• Any Suspension Period shall end upon the election of the Purchaser GGO Board Designees that Investor is entitled to designate under the terms of Section 2 of the Investor Letter Agreement.
