Basic Servicing Agreement definition

Basic Servicing Agreement has the meaning set forth in the Recitals.

Basic Servicing Agreement means that certain servicing agreement, dated as of August 30, 1995, between the Vehicle Trust, BMW Manufacturing L.P. and BMW FS, as servicer.

• Except as otherwise set forth in the 2024-A Basic Documents, 2024-A ABS Notes so owned by or pledged to the Servicer or such Affiliate will have an equal and proportionate benefit under the Basic Servicing Agreement and this 2024-A Servicing Supplement.

• This 2024-A Servicing Supplement will be terminated in the event that the Basic Servicing Agreement is terminated in accordance therewith and may also be terminated at the option of the Servicer or the Titling Trust at any time following the payment in full of the 2024-A Exchange Note; provided, that the rights and obligations of the parties under Section 3.04 will survive any such termination.
