Assigned Intellectual Property definition

Assigned Intellectual Property has the meaning set forth in Section 2.1 (Assigned Intellectual Property).
Assigned Intellectual Property means all of the Intellectual Property and Information owned by Seller or its Affiliates that is used or held for use primarily in the operation or conduct of the Seller Business and is being assigned to Buyer pursuant to this Agreement.
Assigned Intellectual Property means individually and collectively, (a) the Assigned Domain Names, (b) the Assigned Patents, (c) the Assigned Trademarks and in each case (a), (b) and (c) all rights (i) to file for and prosecute applications for the same and (ii) with respect to causes of action and enforcement thereof including rights to pursue damages, injunctive relief of other remedies with respect thereto.

  • To the extent that any Assigned Intellectual Property is not assignable or transferable to the Company (“Non-assignable IP”), the Assignor grants to the Company a non-exclusive, royalty-free, irrevocable, perpetual, world-wide license to make, have made, modify, manufacture, reproduce, sub- license, use and sell such Non-assignable IP, and any residual rights the Assignor holds in the Non-assignable IP will be held by her in trust for the sole benefit of the Company.

More Definitions of Assigned Intellectual Property

Assigned Intellectual Property means any and all Intellectual Property that is in whole or in part authored, conceived, created, developed, discovered, invented, learned, made, originated, prepared, or reduced to practice by Employee, either alone or together with others, during or after the Employment Period and (A) arises out of, is based upon, or incorporates any Confidential Information; (B) is made through the use of equipment, facilities, supplies, funds, or other property of Athena or any of its affiliates; or (C) arises out of or relates to work performed by Employee for Athena or any of its affiliates.
Assigned Intellectual Property means the Patent Rights, Trademark Rights, Domain Name Rights and Know-How.
Assigned Intellectual Property shall have the meaning set forth in the Intellectual Property Agreement.
Assigned Intellectual Property has the meaning set forth in Section 2.1(g). “Assigned Leases” has the meaning set forth in Section 2.1(b).
