Examples of Assigned Intellectual Property in a sentence
To the extent that any Assigned Intellectual Property is not assignable or transferable to the Company (“Non-assignable IP”), the Assignor grants to the Company a non-exclusive, royalty-free, irrevocable, perpetual, world-wide license to make, have made, modify, manufacture, reproduce, sub- license, use and sell such Non-assignable IP, and any residual rights the Assignor holds in the Non-assignable IP will be held by her in trust for the sole benefit of the Company.
No claims or proceedings, or threat of claims, are known by ICANN or are known to have been asserted by any third party against ICANN or any Affiliate relating to the Assigned Intellectual Property or challenging or questioning the validity, effectiveness or infringement of third-party rights thereof.
The provisions of Articles 4, 5, 6 and 7 of this Agreement shall survive until the expiration of the last-to-expire of the registered trademarks and domain names included in the Assigned Intellectual Property.
Exhibit A hereto lists all trademark registrations issued to ICANN for the Assigned Intellectual Property throughout the world.
The Assigned Intellectual Property is subject to no known Encumbrance.
