Annual Performance Period definition

Annual Performance Period see Section 2.2(b).
Annual Performance Period means each period designated in accordance with any annual bonus arrangement or Plan (a “Bonus Plan”) that is based on performance and approved by the Board or any committee of the Board, or in the absence of any Bonus Plan or any such designated period of time, each calendar year.
Annual Performance Period means each period of time designated in accordance with any annual bonus arrangement (a "Bonus Plan") which is based upon performance and approved by the Board or any committee of the Board, or in the absence of any Bonus Plan or any such designated period of time, each calendar year. The Annual Bonus (i) shall be not less than the Target Annual Bonus determined as of the Effective Date (which Target Annual Bonus shall equal Base Salary multiplied by a percentage which is equal to the highest percentage that any annual bonus which could be awarded upon achievement of target performance goals during the 12-month period immediately preceding the Effective Date represents as a percentage of annual salary at that time), (ii) the performance goals under the Bonus Plan shall not be materially more difficult to achieve than the performance goals in the Bonus Plan (or designated by the Board) in effect during the Annual Performance Period immediately before the Effective Date and (iii) the Maximum Annual Bonus shall not be less than the maximum bonus achievable under the Bonus Plan (or designated by the Board) during the Annual Performance Period ended immediately before the Effective Date (or if higher, the Maximum Annual Bonus for the Annual Performance Period that commenced immediately before the Effective Date).

Examples of Annual Performance Period in a sentence

  • Any unvested PSUs that remain after the earlier of the Settlement Date applicable to the third Annual Performance Period or the Qualifying Termination Settlement Date, shall be cancelled immediately and Participant shall immediately forfeit any rights to the PSUs subject to such unvested portion.

  • Upon the determination of the portion of the Participating Officer’s PSUs earned through his/her date of termination for such Annual Performance Period, the balance of the Participating Officer’s PSUs for such Annual Performance Period granted pursuant to this Agreement shall thereupon be forfeited and the Participating Officer shall have no further right, title and/or interest in such PSUs for such Annual Performance Period or any subsequent Annual Performance Period.

  • The portion of the PSUs for such Annual Performance Period deemed to be earned by the Participating Officer will be a pro-rated portion of the PSUs granted under this Agreement for such Annual Performance Period, calculated based upon the quotient of (i) the number of calendar days from January 1 of such Annual Performance Period through the date of such termination occurring within such Annual Performance Period divided by (ii) 365.

  • Except as otherwise provided below, the number of Earned PSUs, if any, shall become vested on the anniversary of the Date of Grant immediately following the last day of the Annual Performance Period with respect to which the Earned PSUs were earned (the “Vesting Date”) if the Participant’s employment or services with the Corporation and its Subsidiaries continues throughout the period beginning on the Date of Grant and ending on the Vesting Date.

  • The actual number of PSUs earned by the Participating Officer shall be determined following the end of each calendar year (each such calendar year being referred to herein as an “Annual Performance Period”) over a four-year performance period coinciding with the Company’s fiscal years 2022 through 2025 (the “Full Performance Period”) based upon the satisfaction of the performance goals (the “Performance Goals”) set forth on Exhibit A attached hereto for each such Annual Performance Period.


More Definitions of Annual Performance Period

Annual Performance Period means the calendar year or any other period of time not greater than 12 months specifically designated as the applicable annual performance period in accordance with any annual bonus arrangement applicable to Executive.
Annual Performance Period means each of the three calendar years 2009, 2010 and 2011;
Annual Performance Period means, as applicable (i) the period from the Grant Date to December 31, 2017 (the “First Performance Period”), (ii) the period from January 1, 2018 to December 31, 2018 (the “Second Performance Period”), and (iii) the period from January 1, 2019 to December 31, 2019 (the “Third Performance Period”).
Annual Performance Period means, as applicable (i) the period from the Grant Date to December 31, 2021 (the “First Performance Period”), (ii) the period from January 1, 2022 to December 31, 2022 (the “Second Performance Period”), and (iii) the period from January 1, 2023 to December 31, 2023 (the “Third Performance Period”).
Annual Performance Period means each of the First Annual Performance Period, the Second Annual Performance Period, the Third Annual Performance Period and the Fourth Annual Performance Period.
Annual Performance Period means each successive Plan Year (commencing with the 2015 Plan Year).
Annual Performance Period means each period of time designated in accordance with any Bonus Plan that is based on performance and approved by the Board or any person or committee designated in the Bonus Plan, or in the absence of any Bonus Plan or any such designated period of time, each fiscal year.
