Amounts or Claims means losses, liabilities, costs, fees, claims, actions, demands or expenses;

Amounts or Claims are losses, liabilities, costs, claims, actions, demands or expenses and "Agent/Delegate Liabilities" are Amounts or Claims which the Trustee is or would be obliged to pay or reimburse to any of its agents or delegates appointed pursuant to this Trust Deed.

Amounts or Claims are losses, liabilities, costs, fees, claims, actions, demands or expenses (together in each case, with any applicable value added or other taxes in respect thereof) and “Agent/Delegate Liabilities” are Amounts or Claims which the Trustee is or would be obliged to pay or reimburse to any of its agents or delegates appointed pursuant to this Trust Deed. The Contracts (Rights of Third Parties) Xxx 0000 applies to this Clause 7.4.

Examples of Amounts or Claims in a sentence

• The Issuer will on demand by the Trustee indemnify it in respect of Amounts or Claims paid or incurred by it in acting as trustee under this Trust Deed (including (1) any Agent/Delegate Liabilities and (2) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities).

• Subject to Clauses 9.19 (Incurrence of financial liability) and 10 (Trustee Liable for Negligence) and without duplication, the Issuer shall, on demand by the Trustee indemnify the Trustee in respect of Amounts or Claims properly paid or properly incurred by it in acting as trustee under the Trust Deed (including (i) any Agent/Delegate Liabilities and(ii) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities).

• The Issuer will indemnify the Trustee in respect of Amounts or Claims paid or incurred by it in acting as trustee under this Trust Deed (including (1) any Agent/Delegate Liabilities and (2) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities).

• Without prejudice to the right of indemnity given by law to trustees, the Bank shall on demand by the Trustee indemnify it in respect of Amounts or Claims paid or incurred by it in acting as trustee under this Trust Deed including (i) any Agent/Delegate Liabilities and (ii) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities.

• Subject to Clauses 9.18 (Indemnity) and 10 (Trustee Liable for Negligence) and without duplication, the Issuer shall, on demand by the Trustee, indemnify the Trustee in respect of Amounts or Claims paid or incurred by it in acting as trustee under this Trust Deed and the other Transaction Documents (including (i) any Agent/Delegate Liabilities and (ii) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities).

• Subject to Clauses 9.18 (Indemnity) and 10 (Trustee Liable for Negligence) and without duplication, the Issuer shall, on demand by the Trustee indemnify the Trustee in respect of Amounts or Claims properly paid or properly incurred by it in acting as trustee under the Trust Deed (including (i) any Agent/Delegate Liabilities and (ii) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities).

• The Issuer will, without duplication with the preceding sentence, on demand by any agent or delegate of the Trustee which has been appointed pursuant to this Trust Deed, indemnify such agent or delegate against any Amounts or Claims properly incurred by such agent or delegate in acting as an agent or delegate of the Trustee under this Trust Deed.

• Agent/Delegate Liabilities means, for a Series, Amounts or Claims which the Trustee for that Series is or would be obliged to pay or reimburse to any of its agents or delegates (including, for the avoidance of doubt, any receiver) appointed pursuant to the Trust Deed for such Series.

• The Issuer will on demand by the Trustee indemnify it, on an after tax basis, in respect of Amounts or Claims paid or incurred by it in acting as trustee under this Trust Deed (including (1) any Agent/Delegate Liabilities and (2) in respect of disputing or defending any Amounts or Claims made against the Trustee or any Agent/Delegate Liabilities).

• The Trustee shall not be responsible to any person for failing to request, require or receive any legal opinion relating to the Notes or for checking or commenting upon the content of any such legal opinion and shall not be responsible for any Amounts or Claims (as defined in sub-clause 11.23 (Trustee not bound to act)) incurred thereby.

Amounts or Claims are losses, liabilities, costs, claims, actions, demands or expenses (including but not limited to all costs, charges and expenses paid or incurred by the Trustee in disputing or defending any of the foregoing) and “Agent/Delegate Liabilities” are Amounts or Claims which the Trustee is or would be obliged to pay or reimburse to any of its agents or delegates appointed pursuant to this Trust Deed. The Contracts (Rights of Third Parties) Xxx 0000 applies to this Clause 7.4.

The provision of this Clause 9.48.4 shall remain in full force and effect notwithstanding discharge of the Trust Deed.

The Trustee shall not be liable for any action it takes or omits to take that it believes to be authorized or within its rights or powers; provided, however, that the Trustee’s conduct does not constitute willful misconduct or gross negligence. The indemnities above constitute separate and independent obligations from the other obligations in this Indenture, will give rise to a separate and independent cause of action, will apply irrespective of any waiver granted by the Trustee and/or any Holder and will continue in full force and effect despite any judgment, order, claim or proof for a liquidated amount in respect of any sum due under this Indenture and/or the Bonds or any judgment or order. The Company shall not be required to reimburse any expense or indemnify against any loss or liability incurred by the Trustee, Registrar, Paying Agent, Transfer Agent or Conversion Agent or any successor Trustee, Registrar, Paying Agent or Conversion Agent through its own gross negligence or willful misconduct. To secure the Company’s payment obligations in this Section 7.6, the Trustee shall have a Lien with priority over the Bonds on all money or property held or collected by the Trustee, except that held in trust to pay principal and Default Interest on particular Bonds. Such Lien shall survive the satisfaction and discharge of this Indenture.
