If any provision of this Agreement is determined by an appropriate regulatory agency, court of law or a mutually acceptable opinion of counsel to violate any applicable state or federal anti-kickback or anti-referral law or regulation, or any applicable state insurance or similar law, the Parties hereto agree to renegotiate in good faith such provision to Amend the terms of this Agreement.
