Alternative Arrangements definition

Alternative Arrangements has the meaning set forth in Section 9.4(i).
Alternative Arrangements shall have the meaning set forth in Section 9.7(d).
Alternative Arrangements means, in respect of relevant premises, arrangementsfor the conveyance of gas to protect the interests of consumers at such premises, as determined by the Secretary of State as suitable under sub-paragraph 5(a) of this condition in this licence or the equivalent condition in the licence of any other relevant gas transporter.

  • All fees and costs associated with implementing such Alternative Arrangements (“Alternative Arrangement Costs”) shall be borne solely by the Service Provider.

  • The Indemnitee shall use commercially reasonable efforts to seek full recovery under all Alternative Arrangements covering any Loss to the same extent as they would if such Loss were not subject to indemnification hereunder.

  • At the closing, the Escrow Agent will disburse the Escrow Funds from the Escrow Account to the Company as provided in the Escrow Agreement against delivery of the Securities to the Investors or their designees (or delivery of the purchase price will be made against delivery of such Securities pursuant to Alternative Arrangements acceptable to the Placement Agent and the Company), which delivery may be made through the facilities of The Depository Trust Company.

Alternative Arrangements has the meaning set forth in Section 11.7.1.
Alternative Arrangements means (a) any proceeds actually received from insurance policies covering the damage, loss, liability or expense that is the subject to the claim for indemnity, and (b) any proceeds actually received from third parties, including, without limitation, any party to any Prior Acquisition Agreement, through indemnification, counterclaim, reimbursement arrangement, contract or otherwise in compensation for the subject matter of an indemnification claim by such indemnitee.
