Allocated Employees definition

Allocated Employees means employees allocated to a Business in accordance with the Allocation Principles;
Allocated Employees means employees who spend a substantial portion (i.e., more than 15%) of their time performing services for Sellers or any of their Affiliates in each case with respect to the Business, and other than (i) Dedicated Employees and (ii) lawyers who are not in the Aetna Retirement Services reporting segment.
Allocated Employees means the individuals who are employees of any of Sellers and their Affiliates (other than the Acquired Companies and the Acquired Company Subsidiaries) but devote all or a substantial portion of their work to the business of the Acquired Companies.

Examples of Allocated Employees in a sentence

  • SCST shall be responsible for all costs associated with the Allocated Employees from and after the Distribution Date.

  • SCST's health and life insurance plans will not exclude pre-existing conditions for the Allocated Employees (except to the extent such pre-existing conditions were excluded from the corresponding Yellow plan immediately prior to the Distribution Date), will waive any waiting period requirements for the Allocated Employees, and will waive any evidence of insurability provisions for the Allocated Employees.

  • The outstanding stock options held by Yellow's directors, employees and other parties, including Allocated Employees, to purchase stock of Yellow shall be adjusted in the manner set forth in paragraph 2.3 of the Disclosure Letter.

  • Yellow shall not be responsible for insurance, employee benefits and other related benefits of the Allocated Employees that accrue from and after the Distribution Date except as may be provided in an individual agreement between Yellow and any Allocated Employee.

  • SCST shall, and shall cause its Subsidiaries to, grant the Allocated Employees credit for their service with Yellow and its Subsidiaries prior to the Distribution Date for purposes of eligibility to participate in and vesting in the benefit plans sponsored by SCST and its Subsidiaries.

  • Notwithstanding anything herein to the contrary, in no event shall Sellers, the Acquired Companies, the Acquired Company Subsidiaries or any Affiliates of such entities be required to transfer the personnel files (including, without limitation, any annual evaluations) of any Employees or Allocated Employees.

  • The Fees for all of the Services will be calculated based upon an hourly charge for Allocated Employees (who shall track their time for work performed under this Agreement), determined in accordance with the current methodology used to allocate the costs (which is based on salary and fringe benefits of each employee and an allocation of overhead) of such Services, as set forth in Exhibit A.

  • Spider will credit Allocated Employees for their service time at Intek and its subsidiaries for purposes of Spider benefit plans (unless prohibited by law) and Spider health and life insurance will not exclude pre-existing conditions.

Allocated Employees means those individuals who are employed by a member of the Seller Group and who have on the basis of the Employee Allocation Principles as defined in Part (A), paragraph 3 of Exhibit 6 been allocated to either a Target Company or a Business Purchaser as the case may be, and who are listed in Part (A) of Annex 2 to Exhibit 6; Amersfoort Agreements means all or any of the Cooperation Agreement dated 18 April 2001 between the Municipality of Amersfoort and Xxxx Xxx/DE N.V. and Xxxx Xxx Household and Bodycare Nederland B.V., the Deed of Exchange and Transfer dated 18 April 2001 between Xxxx Xxx Household and Bodycare Nederland B.V. and the Municipality of Amersfoort, the Remediation Agreement dated 1 October 1998 between Xxxxxxx Intradal B.V., the Provence of Utrecht and the Municipality of Amersfoort, the Purchase Agreement dated 25 March 2002 between Xxxx Xxx Household and Bodycare Nederland B.V. and Columbuspein C.V., and the Deed of Transfer dated 2 July 2002 between Xxxx Xxx Household and Bodycare Nederland B.V. and Columbuspein C.V;

  • Designated Employees means a person occupying any of the following position in the Company:

  • Non-Highly Compensated Employee means an Employee who is not a Highly Compensated Employee.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • Related Employer means the Employer and (a) any corporation that is a member of a controlled group of corporations as defined in Code Section 414(b) that includes the Employer and (b) any trade or business that is under common control as defined in Code Section 414(c) that includes the Employer.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Excluded Employee means an employee as defined in section 3527, subd. (b) of the Government Code (Ralph C. Dills Act) except those excluded employees who are designated managerial pursuant to section 18801.1 of the Government Code.

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Highly Compensated Employee means an Employee who:

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Participating Employer means any trade or business (whether or not incorporated) which adopts this Plan with the consent of the Company identified in the Adoption Agreement.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Participating employee means an employee whose election to participate in a Plan has been approved by the employer.
