Affiliate Obligations definition

Affiliate Obligations means obligations of Xxxx Properties, LLC, Xxxx Properties II, LLC or any of their respective Subsidiaries (or joint ventures in which they own an interest) or other Xxxx-family-owned entities (or joint ventures in which they own an interest, excluding, however, any of the foregoing that is a Guarantor), including development loans; provided, however, that capital calls required to be made by the Company or its Restricted Subsidiaries to or for the benefit of a joint venture pro rata on the basis of the Company’s or a Restricted Subsidiary’s ownership in such joint venture, which capital calls are not being made to enable such joint venture to pay amounts owed under any Indebtedness, shall not be Affiliate Obligations but will be treated as Restricted Payments.

Affiliate Obligations means Sellers' debt and other obligations and --------------------- liabilities to affiliates and stockholders of Sellers, and includes all interest, fees, costs and similar amounts payable by Sellers in respect thereof.

Affiliate Obligations means, with respect to any Affiliate Loan, (a) the principal amount of, and accrued interest on (including, without limitation, any interest which accrues after the commencement of any case, proceeding or other action relating to the bankruptcy, insolvency or reorganization of Borrower), such Affiliate Loan and (b) all other indebtedness, obligations and liabilities of Borrower to the Affiliate Creditor that made such Affiliate Loan now existing or hereafter incurred or created under or with respect to or in connection with such Affiliate Loan.

Examples of Affiliate Obligations in a sentence

• The Affiliate acknowledges and agrees that if the Affiliate knowingly breaches of any of the Affiliate Obligations or Intellectual Property provisions set forth in Sections 3 and/or Section 5 of this Agreement, then in such event the Affiliate will have forfeited his right to receive, and WTFast shall have the right immediately and permanently to discontinue payment of, any commission that would otherwise be payable to the Affiliate under Section 4 of this Agreement without any recourse by the Affiliate.

• Section 19.5 of the Disclosure Schedules includes a complete list of all Support and Affiliate Obligations; provided that Section 19.5 of the Disclosure Schedules may be updated to include any additional Support and Affiliate Obligations arising under a Project Contract approved by Purchaser pursuant to Section 5.18 (but only if the associated Support and Affiliate Obligation is specifically identified to, and approved in writing by, Purchaser).

• On and after the Effective Time, none of the Purchaser, the Company, the Subsidiary or any of their Affiliates shall have any obligations or liabilities arising out of or pursuant to any Terminated Affiliate Obligations.

• Schedule 2.04 contains a true and complete list of all current Support and Affiliate Obligations, except to the extent that item 1 on such Schedule 2.04 has been replaced by a guaranty in a form substantially similar to such item 1.

• During the Interim Period, Purchaser shall use commercially reasonable efforts to replace each of the Support and Affiliate Obligations set forth on Schedule 2.04 with parent guarantees, letters of credit, bonds, indemnities or another credit assurance of a comparable and sufficient nature, or in the form of “back- to-back” credit assurance, in each case in a form that satisfies the requirements of the counterparties as specified in Schedule 2.04.

Affiliate Obligations has the meaning set forth in Section 7.13.

Affiliate Obligations means all liabilities or obligations of the Group under all Affiliate Agreements and all other liabilities of the Group to any of Sellers, the current or past directors, officers or employees of the Group, any current or past holder of Equity Equivalents of the Group, or their respective Affiliates or Related Persons or of any such Person to the Group (other than Permitted Affiliate Obligations), including without limitation the Liabilities set forth on Schedule G.

Affiliate Obligations means obligations of the Company to CMGI arising from (i) services and benefits provided by CMGI to the Company including but not limited to, employee benefits, insurance, consulting, professional and legal services, security services, recruiting fees, telecommunication charges, software licenses, office supplies, human resources, facilities, finance, information technology, public relations and (ii) invoices for goods or services billed to and paid for by CMGI on behalf of the Company including but not limited to, legal fees, office equipment leasing, office space rent, bank fees, consulting agency fees, payroll services, telephony, relocation services, shipping and handling services, tax consulting fees and real estate fees, in each case solely to the extent consistent with the past business practices of CMGI and the Company with respect to such services, benefits and invoices.

Affiliate Obligations means the "Obligations" as such term is defined in the Affiliate Credit Agreement.

Affiliate Obligations means all Liabilities or obligations of Burress under all Affiliate Agreements and all other Liabilities of Burress to any of Burress Shareholders, the current or past directors, officers or employees of Burress, any current or past holder of Burress Equity Equivalents, or their respective Affiliates or Related Persons or of any such Person to Burress, including the Liabilities under the Continuing Affiliate Agreements identified on D isclosure Schedule 5.20.

Affiliate Obligations has the meaning set forth in Section 5.22 below.

Affiliate Obligations means all Liabilities or obligations of Bxxxxxx under all Affiliate Agreements and all other Liabilities of Bxxxxxx to any of Bxxxxxx Shareholders, the current or past directors, officers or employees of Bxxxxxx, any current or past holder of Bxxxxxx Equity Equivalents, or their respective Affiliates or Related Persons or of any such Person to Bxxxxxx, including the Liabilities under the Continuing Affiliate Agreements identified on Disclosure Schedule 5.20.
