Actual Interest Amount definition

Actual Interest Amount is defined in Section 3.1(b)(vii) of this Agreement.
Actual Interest Amount calculated in respect of the Net Tax Benefit for a Taxable Year will equal the amount of any Extension Rate Interest.

  • For purposes of this Agreement, a “Tax Benefit Payment” with respect to any Member means an amount, not less than zero, equal to the sum of: (i) the Net Tax Benefit that is Attributable to such Member and (ii) the Actual Interest Amount.

Actual Interest Amount calculated in respect of the Net Tax Benefit for a Taxable Year, will equal an amount equal to interest calculated at the Agreed Rate from the due date (without extensions) for filing the U.S. federal income Tax Return of the Corporation for such Taxable Year until the date on which the Corporation makes a timely Tax Benefit Payment to the TRA Holder on or before the Final Payment Date as determined pursuant to Section 3.1(a).
