Acquisition Financing definition

Acquisition Financing has the meaning set forth in Section 5.5.
Acquisition Financing means financing from the Buyer’s Lender, in form and substance mutually agreed upon between Buyer and Buyer’s Lender, each in its sole discretion, in an amount equal to or greater than the cash payments required to be made by Buyer pursuant to Section 2.02(a).
Acquisition Financing means (a) the incurrence of Subordinated Debt and/or (b) the purchase by Persons of Equity Interests in Holdings or the issuance of, or contributions in respect of, Equity Interests (other than in respect of Disqualified Stock) of Holdings, in each case for the purpose of consummating any Permitted Acquisition, and in all cases subject to any other applicable requirements under this Agreement (including any limitations on Subordinated Debt provided for herein).

More Definitions of Acquisition Financing

Acquisition Financing shall include the financing contemplated by the Financing Commitments as amended or modified in compliance with this Section 6.05(a)(i) and (ii) “Financing Commitments”, “Equity Financing Commitment” or “Debt Commitment Letters” shall include such documents as amended or modified in compliance with this Section 6.05(a)(i).
